A RESOLUTION OF THE MA YORAND COUNCIL OF THE TOWN OF MARANA, ARIZONA
APPROVING AND AUTHORIZING THE INTERGOVERNMENTAL AGREEMENT BETWEEN
THE CITY OF TUCSON AND THE TOWN OF MARANA TO COORDINATE A TRAFFIC
SIGNAL SYSTEM.
WHEREAS, the Town and the City of Tucson wish to enter into this Intergovernmental
Agreement (IGA) and jointly exercise their powers for a cooperative action pursuant to the
provisions of A.R.S. 911-951, et seq.; and
WHEREAS, the State legislature mandated that traffic signals shall be coordinated regionally
across all governmental jurisdictions to improve air quality, traffic flow, and safety as well as
allocated funds to implement such system; and
WHEREAS, the City of Tucson has the traffic signal management computer system
available, which meets Arizona Department of Transportation's [ADOT] requirements to provide
a coordination pulse to all regional traffic signals at no charge and has entered into an agreement
with the City of South Tucson, the State of Arizona, and Pima County to coordinate regional traffic
signals; and
WHEREAS, acceptance ofthis Intergovernmental Agreement would benefit the citizens of
the Town ofMarana and will be in the public's interest for the Town to participate in regional traffic
signal coordination with the City of Tucson.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Town of
Marana, Arizona, approving and authorizing the Intergovernmental Agreement between the City of
Tucson and the Town of Marana to coordinate a traffic signal system.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute said
Intergovernmental Agreement on behalf of the Town of Mar ana.

INTERGOVERNMENTAL AGREEMENT
THIS INTERGOVERNMENTAL AGREEMENT entered into pursuant to
A.R.S. Title 11, Chapter 7, Article 3, by and between
The CITY OF TUCSON, a municipal corporation, hereinafter
sometimes referred to as the CITY
and
The TOWN OF MARANA, a body politic and political
subdivision of the State of Arizona, hereinafter
sometimes referred to as the TOWN.
WIT N E SSE T H:
WHEREAS the City is empowered and authorized to contract by Tucson Charter
Chapter IX, Section 1, and by A.R.S. Section 9-276A(1) to layout and improve streets;
and
WHEREAS, the TOWN Council is empowered by A.R.S. Section 9-240A to
enter into contracts on behalf of TOWN Departments, and by A.R.S. Section 9 - 2 7 6A 1 to
layout, maintain, control, and manage public roads and bridges in the TOWN; and
WHEREAS, the CITY AND TOWN may contract for services and enter into
Agreements with one another for joint or cooperative action pursuant to the provisions of
A.R.S. Section 11-951, et seq.; and
WHEREAS, the CITY AND TOWN are desirous of coordinating TOWN traffic
signals by connecting them into the CITY'S computer system.
WHEREAS, the State legislature has mandated that traffic signals shall be
coordinated regionally across all governmental jurisdictions to improve air quality, traffic
flow, and safety,
WHEREAS, the CITY has the traffic signal management computer system
available that meets Arizona Department of Transportation's (ADOT) requirements to
provide a coordination pulse to all regional traffic signals at no charge,
WHEREAS, the Legislature has made ftmds available to the Arizona Department
of Transportation to implement a regional traffic signal management system,

NOW THEREFORE, the CITY and TOWN pursuant to the above, and in
consideration of the matters and things hereinafter set forth, do mutually agree as follows:
SECTION 1. PURPOSE
The purpose of this Agreement is to establish and maintain the interconnected
TOWN owned and operated signals into the CITY'S master signal synchronization
computer and to provide for the sharing of costs associated with the project.
a. The TOWN signalized intersections that are currently receiving a coordinating
pulse and monitoring are: NONE
b. The TOWN signalized intersection that are to be added into traffic management
system are as noted in Pima Association of Government's Generic Appendix A.
The TOWN reserves the right to add other TOWN signals in place of locations
identified in the Appendix A.
SECTION 2. MANNER OF FINANCING AND BUDGETING
The parties shall estimate the total costs and expenses of construction of each
interconnect contemplated to be made hereunder. The total costs of all such interconnects
specified in Section 1 will be shared as set forth in Section 3. Subject to budgetary
approval and annual appropriation of funds, each jurisdiction will provide its share
through construction services, materials, or dollars as they may in each instance agree.
Both the CITY and the TOWN represent that they have sufficient funds and budgetary
capacity within their current annual budget to fulfill their respective obligations as set
forth in the terms of this agreement.
SECTION 3. OBLIGATION OF THE PARTIES FOR INITIAL INSTALLATION
A. The CITY shall contract to perform professional services with Pima
Association of Governments (P AG) who will obtain and administer a grant
from Arizona Department of Transportation for the purpose of connecting
various Pima County, City of South Tucson, Town of Marana, Town of Oro
Valley, and State of Arizona owned and operated signals, to the City's Traffic
Management Computer System.
The CITY and TOWN further agree that as other new TOWN signals are
placed into operation, these traffic signals will have the electronic equipment
necessary to be connected into the City central system to receive a
coordination pulse.

B. The CITY shall obtain and/or make the necessary arrangements to provide the
following; the cost of which will be paid for by funds from the grant and/or
other various agencies:
1. the CITY shall provide the necessary communication hardware both for the
signal cabinet and at the master computer to allow for control and
monitoring functions at each location. The CITY shall be reimbursed for
the hardware via the grant. Once the hardware is installed by the TOWN in
the controller cabinet, it becomes the property of the TOWN,
2. the CITY shall provide all wiring harnesses necessary to connect the signal
equipment to the communications hardware and lines. Once the wiring
harnesses are installed by the TOWN, it becomes the property of the
TOWN,
3. the CITY, if requested by the TOWN, shall arrange for any necessary
license fees for the TOWN to observe the coordination software, if
requested by the TOWN, all fees to be paid by the TOWN,
4. the CITY shall provide all necessary specifications for the TOWN to
purchase monitoring equipment compatible with the CITY system,
5. the CITY shall assist the TOWN, if requested, to install the cabinet wiring
necessary to provide a coordination pulse monitoring capabilities at each
location,
6. the CITY shall develop, upon request, the suggested coordination timing
plans for the TOWN and will not implement such plans until written
approval is received from the TOWN,
7. the Traffic Signal Management System will supply the "pulse" at no
charge to the TOWN,
8. the CITY shall provide technical advice, if requested, to facilitate the
maintenance of the communication equipment
C. Upon notification by Pima Association of Governments (P AG) that the grant
has been funded, the TOWN shall provide for, or perform the following:
1. the TOWN shall install, or contract to have installed, the necessary
interconnections between the communication link. provided b US WEST
and the TOWN'S signal controller cabinet, including conduit,
communications wire, and surge suppressers, etc.,

2. the TOWN shall sign a receipt for all interface equipment and/or material
required by the CITY to connect the TOVlN intersection signal controller
into the CITY computer system, so P AG can reimburse the CITY from the
grant for the interface equipment,
3. the TOWN shall remain solely responsible for the operation and
maintenance of the TOWN traffic signals,
4. the TOWN shall make the necessary ordering arrangements with US WEST
to provide the phone system for each TOWN signal as indicated in Section
1,
5. the TOWN agrees to participate in future upgrades at the master computer
system.
SECTION 4. TERMINATION
Either party may terminate this Agreement by giving written notice to the other
party not less than sixty (60) days prior to the termination date, which shall be designated
in the notice. In the event of such termination, each party shall be liable for their
proportionate share of the costs and expenses incurred prior to the specified termination
date and which arise out of the performance of activities required by this Agreement.
SECTION 5. EFFECTIVE DATE AND TERM
This Agreement shall be effective upon the date the Agreement is filed with the
County Recorder of Pima County and shall terminate upon completion of the work set
forth herein and final accounting and settlement between the parties unless terminated
earlier as provided in Section 4. This Agreement shall also terminate in the event that the
work contemplated herein shall not be completed within the current fiscal year of either
party and the governing body of either party does not provide further budgetary approval
and annual appropriation of funds for such work.
SECTION 6. VESTING OF TITLE AND MAINTENANCE OF COUNTY TRAFFIC
SIGNAL EQUIPMENT AND CITY INTERFACE EQUIPMENT
Upon completion of the installation of the electronic interface equipment
contemplated herein, the TOWN shall gain vested title to electronic interface equipment
and shall be responsible for the maintenance and replacement of same.

The TOWN shall retain vested title to all traffic signal control equipment and
shall be responsible for the maintenance of same, including the monthly power, telephone
charges, and signal timing. The electronic interface equipment will interface with the
TOWN traffic signal control equipment for coordination pulse purposes and monitoring
only and cannot alter TOWN approved signal timing.
SECTION 7. LIMITATION OF LIABILITY
The TOWN shall retain full responsibility for all intersection traffic signal
operations within the TOWN.
The TOWN agrees to indemnify, defend and hold harmless the CITY, its officers,
departments, employees and agents from and against any and all suits, actions legal or
administrative proceedings, claims demands or damages of any kind or nature arising out
of the TOWN'S participation in the CITY'S Traffic Signal Coordination system under
the terms of this agreement, except for any liability arising out of the sole negligence of
the CITY.
The TOWN agrees to indemnify, defend and hold harmless the CITY, its officers,
departments, employees and agents from and against any and all suits, actions legal or
administrative proceedings, claims demands or damages of any kind or nature to any
person or property whatsoever occurring at the TOWN'S traffic signal.
SECTION 8. EQUAL EMPLOYMENT OPPORTUNITY
The parties agree to comply with Pima County Ordinance No. 1974-10 and, where
not inconsistent therewith, the provisions of Section 17-21 of the Tucson Code.
SECTION 9. ARBITRATION
The parties agree to an arbitration as provided in A.R.S. Section 12-1501, et seq.
to resolve disputes involving the interpretation and performance of the terms set forth in
this Agreement.
SECTION 10. AMENDMENTS TO INTERSECTION LIST
It is understood that the list of intersections set forth in this Agreement may be
added to, or have deletions made, by Letter Addendum Exhibit "A", with all other
conditions set forth remaining in effect.

SECTION 11. LEGAL JURISDICTION
Nothing in this Agreement shall be construed as either limiting or extending the
legal jurisdiction of either the CITY or the TOWN.
SECTION 12. CANCELLATION OF POLITICAL SUBDIVISION AND STATE

Inter-jurisdictional Traffic Signal Coordination for the Greater
Tucson Metropolitan Area
to Improve Traffic Operations and Air Quality
(Includes all participating jurisdictions and all signals identified for FY 1998-99 and FY 1999-2000)

The City of Tucson, Arizona Department of Transportation, Pima County, and South
Tucson have been in partnership to provide a "seamless" traffic signal operation across
jurisdictional boundaries since the early 1990's. The partnership has resulted in the
interconnection of many traffic signals, in and adjacent to the City of Tucson, into a single
central coordinated operation. However, not all signals in the Tucson metro area are yet
part of the interconnected system.
The central hub of the traffic signal interconnect system is the City of Tucson Traffic
Management Center. The Center's computer provides the necessary coordination "pulse"
to the signals at the intersections regardless of the governmental agency responsible for
the timing, maintenance, and operation of the intersection traffic signal. Each jurisdiction
maintains full responsibility and control for their intersection traffic signals. The
coordination pulse's purpose is to allow the governmental jurisdiction responsible for the
intersection to operate the traffic signal controller equipment in a coordinated mode with
other traffic signal controllers and allow for the monitoring of the traffic signal
operation. Thus, drivers moving within and from one governmental authority to another
can pass through a system of traffic signals whose timing is coordinated to give the
mathematically best possible flows to reduce delay and accidents and to improve air
quality.
Traffic Sismal Timio2
VIrtually, all of the traffic signals in the City of Tucson are in the coordinated system. In
addition, all of the Arizona Department of Transportation, Pima County, and South
Tucson signals, contiguous to the city limits, are also in the system. Arrangements are
currently underway to provide the identical service to the Towns of Maran a and Oro
Valley. The coordination of the signal timing, along the major arterials serving the region,
has historically reduced delay, improved air quality, and reduced accidents. Also, the
integrated signal system has an emergency alert system to notify each governmental
jurisdiction of traffic signal failures within a few seconds of the signal's failure. The
emergency alert system provides for quicker emergency response and equipment repair of
intersections with failed signals.
Arrangements are currently underway to finalize the inclusion of the Town's signals into
the coordination system. This will provide a time "pulse" allowing the Town to coordinate
their signal operations with the State's interchange signals and Pima County's arterial
signals, along the major corridors serving the Interstate and the northwestern portion of
the Tucson area.

system. This grant will be used to purchase a monitoring workstation and include the
remaining County signals into the central system.

Corridor Instrumentation
In addition to the "seamless" interconnection of the traffic signals, the City, in conjunction
with the Federal Highway Administration and the University of Arizona, is working on
advanced technology to develop "smart corridors of signals" that can change the traffic
signal timing to meet forecasted traffic flows beyond the current technology of vehicle
actuation and time of day operations. The system is called "RHODES" and the software
will be under test in Tucson.
Inte2ration of Traffic Onerations Centers
As noted above, the signals of all the governmental jurisdictions are currently linked via
the City of Tucson Traffic Management Center. Soon the Tucson Center will also be
linked with the Freeway Management Center in Phoenix, providing coordination of
Intelligent Transportation Systems regionally. Coordinated signal operations across
jurisdictional boundaries and freeways already are in operation. This operation has
reduced delay, improved air quality, and .provides for quick emergency response to traffic
signal incidents by emergency crews.
Inter-jurisdictional Cooneration
The current system in operation can be expanded to encompass all of the traffic signals in
the Greater Tucson Metropolitan Area. The City of Tucson and the Town of Maran a are
working on an arrangement to incorporate all the Town ofMarana signals into the central
system. Thus, State, Town, City and County signals can be coordinated along the arterial
routes. The Arizona Department of Transportation has already dramatically expanded the
number of signals under their control into the central system.
A $200,000 grant from ADOT to PAG for fiscal year 98-99 will be used to expand the
central system software to interconnect, monitor, and provide emergency alerts to the
responsible traffic signal governmental agency of approximately half of the remaining
signals in operation in the Greater Tucson Metropolitan Area.
Technical Cooneration
Each government's technical staff and the Pima Association of Governments have already
demonstrated that the systems can be installed within a short time frame. Actions are
currently underway to expand the system. The award of the $200,000 grant will allow for
the immediate implementation of the system, because most of the engineering details have
already been designed.
The expansion of the system will allow the expansion of "smart-corridors" throughout the
area and especially the arterial systems connected to the Freeway system in Tucson.
Work Schedule
The proposed schedule is for the existing Intergovernmental Agreements to be expanded
to include all the intersections identified below with a (*) in Fiscal Year 1998-99, with all
of the remaining signals being interconnected in fiscal year 1999-2000.
City of Tucson Sismals
All but one of the City's signals are connected into the system. The grant for fiscal year
98-99 will be used to expand the interconnect and software necessary to incorporate the
signals in the Greater Tucson Metropolitan Area into a "seamless" operational system.
However, to accomplish this, the City of Tucson must purchase and supply to each signal
in the system an interface unit at a unit cost of approximately $1,200.

Bud2et Estimate
The program is recommended to follow generally the same procedures as the previously
completed air quality grant to coordinate traffic signals in the Greater Tucson
Metropolitan Area through the Pima Association of Governments. The grant will be used
to cover the expenses for the installation of interconnect and emergency monitoring
equipment for each jurisdiction. Among all jurisdictions, there are a total of 75 existing
locations that need to be interconnected, with 36 of those locations identified for
interconnect during FY 98-99.
As stated above;a.cost per intersection-estimate has been -applied toallew for connection
of the total amount of36 intersections identified for FY 98-99 under the allocated
$200,000 grant.
