HomeMy WebLinkAboutResolution 2002-048 MOU to support the marana arts councilMARANA RESOLUTION NO. 2002-48 A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF MARANA, ARIZONA, ' ADOPTING A MEMORANDUM OF LENrDERSTANrDING BETWEEN THE TOWN AND THE MARANA ARTS COUNCIL FOR SUPPORT OF THE ARTS WITHIN THE TOWN. WHEREAS, the Marana Arts Council is an Arizona Nonprofit Corporation, romped pursuant to Title 10 of the Arizona Revised Statutes, and is authorized to carry out those acts which establish, stimulate and maintain an awareness and appreciation of diverse traditional and cultural arts in the Town; and WHEREAS, it would be in the best interests of the Town's residents for the Town to assist the CounciI in holding communitybased art events and educational programs, and providing administrative services in support of artists, art agencies and audiences; and WHEREAS, staff`from the Town and the Marana Arts Council have prepared a Memorandum o f Understanding, attached hereto as Exhibit A and incorporated herein by this reference, setting out the mutual understandings of the Town and the Marana Arts Council with respect to the Town's support of the Arts Council and its service to the Marana arts community; and WHEREAS, the Mayor and Council have reviewed the Memorandum of Understanding and find that the terms contained therein are equitable and in the best interest of the Town and its residents. NOW, THEREFORE, BE IT RES OLVED by the Mayorand Council of the Town of Marana, Arizona, that the Memorandum of Understanding, attached hereto ~.s Exhibit A, is hereby approved and adopted, and the Town Manager is author/zed to execute and deliver it. BE iT FURTHER RESOLVED that the various town officers and employees are authorized and directed to perform all acts necessary and desirable to give effect to this Resolution. (Council), in mutual recognition of the benefits bestowed upon the community by supporting the fine arts, and in order to promote the presentation of the fine arts within the community of Marana, do hereby memorialize their mutual understanding. RECZTALS WHEREAS, the Town is an Adzona Municipal Corporation, formed pursuant to .title 9 of the Arizona Revised Statutes, and is authorized to act in the general health and welfare of its residents; and WHEREAS, the Council is an Adzona NonprOfit Corporation, formed pursuant to lqtle 10 of the Adzona Revised Statutes, and is authorized to carry out those acts which establish, stimulate and maintain an awareness and appreciation of diverse traditional and cultural arts in the Town; and WHEREAS, it would be in the best interests of the Town's residents for the Town to assist the Council in holding community based art events and educational programs, and providing administrative services in support of artists, art agencies and audiences. Page 1 of 3 POI'NTS OF MUTUAL UNDERSTANDTNG NOW, THEREFORE, THE TOWN AND THE COUNCIL UNDERSTAND THAT: Beginning on the first available date when office space is available for Sandy Groseclose, and extending annually for a period of approximately five years, ending June 30, 2007, Town employee, Sandy Groseclose, shall perform duties for the Council in accordance with this Memorandum of Understanding (Official Duties). While performing Official Duties, Ms. Groseclose shall be considered an "executive on loan" to the Council, and shall remain an employee of the Town with the same benefits granted to other full-time employees of the Town. While performing Official Duties, Ms. Groseclose shall be supervised by and report directly to the Council's Board of Directors, and shall not be supervised by the Town or any of its agents or employees. The Council shall provide office space for use by Ms. Groseclose in connection with Official Duties, and shall be responsible for all travel, training and incidental costs incurred by Ms. Groseclose in connection with Official Duties. The Town shall provide initial fumishings for Ms. Groseclose's office space including a desk, a computer, a file cabinet, a chair, and some business supplies as agreed upon by the Town Manager and the President of the Board of Directors of the Council. Ms. Groseclose shall re, in her present cell phone and cell phone service as well as her pager and pager service for the duration of this Memorandum of Understanding. The Town shall allocate fifteen thousand dollars ($15,000.00) annually for operational support to the Council. Payment of said monies shall be made in equal quarterly installments, beginning on the first available date that office space is available to Ms. Groseclose, with the second quarterly installment for the period beginning July 1, 2002 also being advanced and paid at this time. Page 2 of 3 The President of the Council shall present a letter to the Town Manager annually, no later than the 18m day of February, detailing Ms. Groseclose's performance for the preceding year, indicating whether Ms. Groseclose's performance has met the Council's expectations, and identifying the Council's expectations for Ms. Groseclose's performance for the next year. The Town Manager and Assistant Town Manager shall be the primary point of contact and communication with Ms. Groseclose and the Marana Arts Council's President. By mutual consent, the Town or the Council may withdraw from this Memorandum of Understanding with thirty (30) days written notice to the other party prior to any new Town fiscal year.
