MARANA RESOLUTION NO. 2001-157 A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF MARANA, ARIZONA, APPROVING AND AUTHORIZING AN AGREEMENT BETWEEN THE TOWN OF MARANA AND THE MARANA CHAMBER OF COMMERCE FOR SERVICES TO THE TOWN. WHEREAS, the Mayor and Council of the Town of Marana, Arizona, have determined that the Marana Chamber of Commerce plays an important role in enhancing the image and prosperity of the community through its many activities; and WHEREAS, the Mayor and Council have determined that the Chamber is ot~en the ~st contact many people have with the Town and ~t ~s necessary for the Chamber to serve as a community advocate; and WI-~REAS, the Mayor and Council have determined that the Chamber has the skills and resources to assist the Town in accomplishing its objectives of creating conditions conducive to both the business and residential environments of the Town; and WHEREAS, the Mayor and Council have determined that assisting the Chamber is in the best interests of the Town and its residents; and WHEREAS, the Mayor and Council have determined that appromg the Contract for Sermces _ .. ~, ,__A_~ and the Marana Chamber of Commerce, attached hereto as Exhibit A l~etween tiae town oxiw'_,uu~.. . _ _.a_~ ~deanate assistance to the Chamber. and incorporated herein by ttus re~erence, prowu~ NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE TOWN OF MARANA, ARIZONA, AS FOLLOWS: Section 1. That the Contract for Services Betweenthe Town of Marana and the Marana Chamber of Commerce, attached hereto as Exhibit A and incorporated herein by this reference, is hereby approved. Section 2. That the Mayor is hereby empowered and directed to execute the Contract for Services on behalf of the Town of Marana. ATTEST: APPROVED AS TO FORM: ~ ~S~.i g omey and not personally Page 2 of 3 Mnmm Resolution No. 2001-157 Exhibit A Contract for Services Between the Town of Marana and the Marana Chamber of Commerce Marana Resolution No. 2001-157 Page 3 of 3 Contract for Services Between The Town of Marana and the Marana Chamber of Commerce This Agreement is made and entered into by the Marana Chamber of Commerce, herein referred to as ~Chamber" and the Town of Marana, Arizona, herein referred to as ~Town.' RECITALS: The Town acknowledges that the Chamber plays an important role in enhancing the image and prosperity of the community through its many activities. The Town recognizes that the Chamber is often the first contact many people have with the Town and it is necessary for the Chamber to serve as a community advocate. The Town recognizes that the Chamber has the skills and resources to assist the Town in accomplishing its objectives of creating conditions conducive to both the business and residential environments of the Town. The Town recognizes that t_he Chamber has reduced its reliance on the Town as a source of income from 70 percent of the budget three years ago to 30 percent in the current fiscal year. Now, therefore, in exchange for mutual consideration received, the adequacy and sufficiency of which is affirmed by this agreement, the Town and the Chamber do hereby mutually agree as follows. AGREEMENT: 1. Scope of Services: Economic Development Support The Chamber agrees to provide services encouraging new industries, and retention and expansion of local business in the Town as follows: A. Respond to public requests for economic development and business development information received by phone, in writing, or in person, in a timely and effective manner. Telephone and mail requests should have a turn-around time of no more than two working days. B. Refer appropriate requests for information to the Town's Economic Development Coordinator or designee. C. Keep records of all business inquiries. D. Develop, prepare and distribute, as required by demand, the following: 1. Relocation magazine 2. Marana map 3. Guide to Starting a Business in Marana E. Host and advertise events designed to increase business in the community including trade shows and business education seminars. F. Facilitate communication between the Town and its business community. G. Coordinate business recruiting and retention efforts with the Town and the Greater Tucson Economic Council (GTEC). H. Provide a quarterly progress report to the Town. 2. Scope of Services: Visitors Center The Chamber agrees to provide the operation of a Visitors Center as follow~: A. Respond to public requests from town residents, winter visitors, tourists and new and existing businesses for community information. All requests will be responded to in a timely and effective manner. Telephone and mail requests should have a turn-around time of no more than two working days. B. Refer appropriate requests for information to the Metropolitan Tucson Convention & Visitors Bureau. C. Keep a record of the number of visitors and requests for information. D. Develop and distribute, as required by demand, the following: 1. Relocation magazine 2. Marana map 3. Brochure promoting Marana 2 E. Maintain days and hours of operation to serve the needs of residents and visitors. F. Provide a quarterly report to the Town on all visitors. 3. Scope of Services: Relocation Information The Chamber agrees to be the central processing center for all relocation inquiries as follows: A. Respond to public requests for Marana relocation information in a timely and effective manner. Telephone and mail requests should have a turn-around time of no more than two working days. B. Keep a record of all requests for relocation information. C. Develop and distribute, as required by demand, the following: 1. Relocation magazine 2. Marana map 3. Brochure promoting Marana 4. Guide to Local Services and Agencies D. Provide quarterly reports to the Town on all requests. 4. Scope of Services: Special Events The Chamber will produce special events that serve to enhance the business and residential environment of the town as follows: A. Produce the annual Founders' Day celebration to commemorate the founding of the community. This event strengthens community spirit and enhances the quality of life for the residents of Marana. This event not only attracts a large number of residents to a community event; it also serves to expose residents and non-residents to some of the different areas Marana encompasses. B. Co-sponsor with the Town of Marana the annual Star Spangled 4th of July Celebration. This event provides a showcase for the Town so those who are not familiar with the quality of life in Marana can experience a small part of it. This event receives extensive positive press coverage for Marana because of the large number of people who attend this event. The Chamber shall assist the Town of 3 Marana in maintaining existing and generating new sponsorships and provide assistance to town staff with public relations and marketing. All revenues and expenditures for the event will be the responsibility of the Town of Marana, with the exception of the beer garden. Annually, with the Town Manager~s approval, the Chamber shall continue beer sales and be responsible for its associated revenues and expenditures. C. Provide support for other special events that may occur in the Town and coordinate with Town staff on these events. D. Coordinate with community groups, such as the Marana Arts Council, on all special events. E. Make presentations to the Town Council on Chamber activities as requested. 5, Funding The Town a~rees that long-term planning is necessary for the success and stability of the Chamber,~ and agrees to provide $40,000 funding for the Chamber each year for the next five years, beginning with the Town's 2002/2003 fiscal year, in exchange for the aforementioned services. 6. Miscellaneous Provisions A. Headings. The headings used in this Agreement are for' the purpose of convenience only, and do not constitute substantive terms of this Agreement. B. Entire Agreement. This document constitutes the entire agreement between the parties pertaining to the subject matter hereof and correctly sets forth the rights, duties and obligations of each to the other as of its date. All prior or contemporaneous agreements and understandings, oral or written, are hereby superseded and merged herein. The provisions hereof may be abrogated, modified, rescinded or amended in whole or in part only by written instrument executed by the parties with the same formality as this document. C. Notice of Right to Terminate Contract. Pursuant to A.R.S. § 38-511, the Town reserves the right to cancel this Agreement, within three years after the effective date of this Agreement, without penalty or further obli§ation, if any person significantly involved in initiating, negotiating, securing, drafting or creating the 4 contract on behalf of the Town is, at any time while this Agreement or any extension of this Agreement is in effect, an employee or agent of the Chamber in any capacity or a consultant to the Chamber with respect to the subject matter of this Agreement. Cancellation under this section by the Town shall be effective when written notice from the Town Manager is received by the Chamber. The Town may recoup any fee or commission paid or due to any person significantly involved in initiating, negotiating, securing, drafting or creating this Agreement on behalf of the Town from the Chamber arising as the result of this Agreement. In witness whereof, the parties have set their signatures this __ day of December, 2001.
