A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF
MARANA, ARIZONA, RECOMMENDING THE APPROVAL OF THE
INTERGOVERNMENTAL AGREEMENT BETWEEN CERTAIN CITIES,
TOWNS, FIRE DISTRICTS AND DEPARTMENTS IN PIMA COUNTY,
ARIZONA, AND PIMA COUNTY TO ALLOW FOR MUTUAL AID AND
EMERGENCY RESPONSE BY THE HAZARDOUS MATERIALS TEAM
WITHIN PARTICIPATING JURISDICTIONS OF PIMA COUNTY.
WHEREAS, certain towns, cities, fire districts and Pima County desire to
enter into an intergovernmental agreement to provide hazardous materials
emergency response within Pima County for the protection of the public in the
event of a Haz Mat incident pursuant to Arizona Revised Statutes pertaining to
each responder; and
WHEREAS, the Town of Marana desires to cooperate and participate in
this county-wife hazardous materials emergency response effort; and
WHEREAS, it is in the best interests of the citizens of the Town of Marana
that the Town shall enter into the Intergovernmental Agreement Between
Certain Cities, Towns, Fire Districts and Departments in Pima County, Arizona,
and Pima County to Allow for Mutual Aid and Emergency Response by the
Hazardous Materials Team Within Participating Jurisdictions of Pima County.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Town of Marana, Arizona, that the Town authorizes the Town Manager to enter
into the Intergovernmental Agreement Between Certain Cities, Towns, Fire
Districts and Departments in Pima County, Arizona, and Pima County to Allow
for Mutual Aid and Emergency Response by the Hazardous Materials Team
Within Participating Jurisdictions of Pima County, effective from the date of
signature of all parties to the Agreement and upon recordation with the Office of
the Pima County Recorder.

RESOLUTION OF THE BOARD OF SUPERVISORS OF PIMA COUNTY, ARIZONA,
APPROVING AND AUTHORIZING EXECUTION OF AN INTERGOVERNMENTAL
AGREEMENT BETWEEN PIMA COUNTY AND CERTAIN CITIES, TOWNS, FIRE
DISTRICTS AND DEPARTMENTS IN PIMA COUNTY.
BE IT RESOLVED BY THE PIMA COUNTY BOARD OF SUPERVISORS AS
FOLLOWS:
SECTION I: That the execution of the Intergovenunental Agreement between Pima
County and the Cities, Towns, Fire Districts and Departments described in the Recitals, to allow
for mutual aid and emergency response by the Hazardous Materials Team within participating
jurisdictions of Pima County, is hereby authorized and approved.
SECTION II: That the purpose of this Agreement is to provide mutual aid and emergency
response by the Hazardous Materials Team within participating jurisdictions of Pima County.
SECTION III: This Agreement shall become effective immediately upon the approval by
County officials and shall be filed with the Pima County Recorder.
SECTION IV: That the Chair of the Board of Supervisors is authorized and qirected to
execute said Agreement on behalf of Pima County.
SECTION V: That the various County officers and employees be and hereby are authorized
and directed to perf 0111;1 all acts necessary or desirable to give effect to this Resolution.

CERTAIN CITIES, TOWNS, FIRE DISTRICTS AND DEPARTMENTS
IN PIMA COUNTY, ARIZONA, AND PIMA COUNTY
TO ALLOW FOR MUTUAL AID AND EMERGENCY RESPONSE
BY THE HAZARDOUS MATERIALS TEAM WITHIN
P ARTICIP ATING JURISDICTIONS OF PIMA COUNTY
WHEREAS, the parties to this Intergovernmental Agreement ("Agreement") desire to
enter into an intergovernmental agreement to provide hazardous materials emergency response
upon the terms and conditions set forth below.
RECITALS
A. The parties to this Agreement are the following:
1. Pima County
2. Village of Casas Adobes
3. Town of Marana
4. Town ofOro Valley
5. Town ofSahuarita
6. City of South Tucson
7. A vra Valley Fire District
8. COlOna de Tucson Fire District
9. Drexel Heights Fire District

B. Definitions
1. Common Equipment -- Equipment secured for Team use by Pima County, the Haz Mat
Lead Agency, or the L.E.P.C. in hazardous materials response actions and training;
2. Haz Mat -- All hazardous materials, generally defined as hazardous substances,
petrolewn, natural gas, synthetic gas, acutely toxic chemicals and other toxic chemicals.
Also extremely hazardous substances which may cause serious health effects following
short-term exposure from accidental releases. All materials and substances regulated
under the Comprehensive Emergency Response Compensation and Liability Act
(CERCLA) 42 D.S.C. g9601 et. seq.;
3. Incident -- Haz Mat release which warrants response under CERCLA;
4. L.E.P.C. -- Pima County Local Emergency Planning Committee established pursuant to
A.R.S. g 26-344;
5. OEM -- Tucson-Pima County Office of Emergency Management, a component of the
Pima County Department of Health;
6. Plan -- Pima County Hazardous Materials Emergency Response Plan, created by the
L.E.P.C. pursuant to the provisions of A.R.S. g23-341 et. seq.
7. Response -- A mobilization of the Pima County Hazardous Materials Emergency
Response Team to a Haz Mat release or potential release;
8. Team -- The Pima County Hazardous Materials Emergency Response Team composed
of individuals who are qualified and trained for Haz Mat Response pursuant to the Pima
County Hazardous Materials Emergency Response Plan.
C. Pima County desires to exercise its powers to provide emergency management for the
protection of the public in the event of a Haz Mat incident pursuant to the provisions of A.R. S.
gg 26-307, 26-308 and 11-251.
D. Each of the undersigned incorporated cities and towns desire to exercise the powers to
provide for the protection of the public in the event of a hazardous material incident pursuant to
the provisions of A.R.S. gg 26-307 and 26-308.
E. Each of the undersigned fire districts and fire departments desires to exercise its powers to
respond to, or allow a response by others within the boundaries of its jurisdiction, a hazardous
materials incident pursuant to the provisions of A.R.S. g48-805(B)(12).

F. Each of the parties is a political subdivision of the State of Arizona and is authorized to enter
into this Intergovernmental Agreement pursuant to the provisions of A.R.S. ~11-951 et. seq.
G. The Pima County Hazardous Materials Emergency Response Team is hereby created.
Personnel for the Team shall be sponsored by the individual parties to this Agreement who
choose to participate pursuant to Paragraph 6.
H. The Pima County Hazardous Materials Emergency Response Plan shall, as may be amended
from time to time, govern the actions of the parties to this Agreement.
I. A Lead Haz Mat Agency shall be designated by the L.E.P.C. and shall assume the
responsibilities set forth in the Plan and in this Agreement.
THEREFORE, in consideration of the covenants and conditions contained in this agreement,
the parties agree as follows:
1. RECITALS. The recitals set forth above are incorporated into the terms and conditions
of this Agreement.
2. TERM. This Agreement shall be effective as of the date it is filed with the Pima County
Recorder and shall continue in force for a period of three (3) years thereafter. The parties to this
agreement shall have the option of extending the Agreement for six (6) additional three (3) year
periods. Any modification, termination, or extension shall be made by formal written notice and
executed by the parties hereto.
3. PURPOSE AND INVITATION. The purpose of this Agreement is to define the
resources and personnel available to respond to an uncontrolled release of hazardous materials
and effectively, expediently, and judiciously manage such an event for the protection of the
citizens, property, and environment, regardless of jurisdictional boundaries. By signing this
agreement, each party hereby invites the Team to respond to notification of a hazardous materials
incident occurring within the jurisdictional boundaries of the party.
4. RESPONSE. The decision whether to respond with equipment or manpower will always
remain with each jurisdiction from which assistance is requested.
5. DUTIES AND POWERS OF SUPERVISOR. The Lead Haz Mat Agency, as defmed
in the Plan, will appoint an officer to be the Supervisor of the Team. The Supervisor shall
designate the command structure based upon the education, training, related experience, and
leadership abilities ofteam members. The Supervisor may dismiss members from the Team for
failure to meet health, physical fitness, or training standards. Such action will be reported to the
member's agency. The command structure shall control regardless ofa team member's rank in
any other organization.

6. TEAM MEMBERSHIP. Each party to this Agreement may provide personnel to
participate on the Team. Any participant so designated shall meet all training, testing, and
screening requirements as set forth in the Plan and shall adhere to the command structure
designated by the Supervisor.
7. POLICIES AND PROCEDURES. Team members will abide by the policies and
procedures set forth in the Plan. In the event such policies and procedures conflict with the
policies, procedures, or rules of the sponsoring entity of any member, the sponsoring entity's
policies, procedures, or rules shall take precedence provided, however, that adherence to such
entity's policies, procedures, or rules does not jeopardize the effectiveness or safety of the Team.
8. NO PARTNERSHIP. This Agreement shall not be construed to create any partnership,
joint venture, or employment relationship between the parties or any employee, agent, or
contractor of any party. An employee, agent, or contractor for one party shall not be considered
to be an agent, employee, or contractor of another party merely because a party has assumed and
is exercising the duties and responsibilities as outlined in the Pima County Incident Command
System under the Plan.
9. INDEMNIFICATION. Each party shall, to the extent permitted by law, indemnify, defend,
and hold harmless the other parties, their officers, department, agents, and employees, from and
against any and all suits, actions, legal or administrative proceedings, claims, demands, or
damages of any kind of nature arising out of this Agreement, to the extent they are attributable to
any negligent act or omission of the indemnifying party, its agents, employees, or anyone acting
under its direction or control. A party who requests that the Team respond with personnel and/or
equipment shall not, solely on the basis of the request, be required to indemnify any party who
participates in the response. The negligent act or omission of an employee, agent, or contractor
of a party shall be that party's responsibility irrespective of the fact that the employee, agent, or
contractor was acting under the authority or direction of command personnel from another party.
10. DUTIES OF THE LEAD HAZ MAT AGENCY. Duties of the Lead Haz Mat Agency
shall be as set forth in the Plan. Additionally the Lead Haz Mat Agency shall:
a. Annually report on the current status, preparedness, and capability of the Team
and on the Team's activities during the year. Such report shall be made, in
writing, to L.E.P.C. no later than December 31 of each year the Agreement is in
effect;
b. Maintain occupational medical records for and records for tracking the training of
Team members;
c. Maintain Team response records pursuant to all applicable laws, rules, and
regulations;

d. Coordinate joint training activities;
e. Provide routine maintenance of common equipment;
f. Operate common equipment, or assure operation by properly trained
individual(s), in Haz Mat response actions and training;
g. Determine the proper response level/profile for each Haz Mat response; and,
h. Bear Lead Haz Mat Agency's costs for training, equipment, responses, and legal
servIces.
11. DUTIES OF FIRE DISTRICTS AND DEPARTMENTS. Duties of all fire districts and
fire departments that participate pursuant to Paragraph 6 include, but are not limited to, the
following:
a. Ensure personnel who are assigned to participate on the Team are trained for such
participation pursuant to the Plan;
b. Maintain district or department response records pursuant to all applicable laws,
rules, and regulations;
c. Secure, operate and maintain district or department equipment intended for use in
Haz Mat response actions and training, as necessary; and,
d. Bear district or department costs for training, equipment, responses, and legal
servIces.
12. DUTIES OF PIMA COUNTY. Duties of Pima county include, but are not limited to, the
following:
a. Secure and coordinate intergovernmental or other agreements as may be necessary
to effectuate the Plan;
b. Disseminate any notifications received under this Agreement to all parties and,
when appropriate, the L.E.P.C.;
c. Coordinate pre-litigation Haz Mat response action cost recovery efforts where
appropriate;
d. Coordinate grants received for the purpose of conducting Haz Mat operations;
e. Provide technical support, when appropriate and possible, to the Team; and,

f. Bear the County's costs for training, equipment, responses, and legal services.
13. DUTIES OF CITIES AND TOWNS. Duties of all cities and towns that include, but are
not limited to, the following:
a. Cooperate with the Team to assure unencumbered ability to respond to Haz Mat
incidents within the corporate limits of the city or town; and,
b. Bear the city's or town's costs for any training, equipment, responses, and legal
services directly incurred by the city or town during a Haz Mat incident response.
14. WORKER'S COMPENSATION COVERAGE. Each party shall comply with the notice
provisions of A.R.S. S 23-1022(E). For purposes of A.R.S. S 23-1022, each participating agency
shall be considered the primary employer of all personnel currently or hereafter employed by that
agency, irrespective of the incident command protocol in place, and said agency shall have the
sole responsibility for the payment of Worker's Compensation benefits or other fringe benefits of
said employees.
15. NON-APPROPRIATION. If, for any reason, a party does not appropriate sufficient funds
for the purpose of maintaining this Agreement, this Agreement shall terminate with respect to
such party only by operation of law on the date of the non-appropriation. Provided, however, a
participating agency shall not be permitted to avoid its indemnification obligations under
paragraph 9 hereto by claiming it has insufficient funds to honor such obligations. The
obligations of indemnification under paragraph 9 shall survive the termination of this agreement.
16. JURISDICTION. Nothing in this Agreement shall be construed as otherwise limiting or
extending the legal jurisdiction of any party. Nothing in this Agreement is intended to confer
any rights or remedies to any person or entity that is not a party.
17. SEVERABILITY. If any provisions of this Agreement or applications thereof are held
invalid, such invalidity shall not affect other provisions or applications of this Agreement which
can be given effect without the invalid provision or application.
18. TERMINATION. Any party may terminate participation in this Agreement by delivering
to the OEM, including delivery by fax, written notification of intent to terminate participation
thirty (30) days before termination. Upon termination, each party shall retain all property that
originated with that party. Upon termination of a party or parties; this Agreement shall remain in
full force and effect as to the remaining parties.
19. CONFLICT OF INTEREST. This Agreement is subject to A.R.S. S38-511, which is
incorporated as if set forth in full.

20. COMPLIANCE WITH ALL LAWS. Parties shall comply with all federal, state and local
laws, rules, regulations, standards and Executive Orders, without limitation to those designated
within this Agreement. The laws and regulations of the State of Arizona shall govern the rights
of the parties, the performance of this Agreement and any disputes hereunder. Any changes in
the governing laws, rules, regulations, and the Plan during the term of this Agreement shall apply
but do not require an amendment.
21. NON-DISCRIMINATION. Parties shall not discriminate against any employee or any
other individual in any way because of that person's age, race, creed, color, religion, sex,
disability or national origin in the course of carrying out the respective duties of the parties as set
forth in this Agreement. All parties shall comply with all applicable provisions of the Americans
with Disabilities Act (Public Law 101-336,42 V.S.C. 12101-12213) and all applicable federal
regulations under the Act, including 28 CFR Parts 35 and 36.
22. COMMON EQUIPMENT. The housing and operation of the Haz Mat truck shall be
defined under and controlled by a separate agreement between the Lead Haz Mat Agency and
Pima County.
The acquisition of any other common equipment by the Lead Haz Mat Agency for the purposes
of implementing the Plan, shall be coordinated with and approved by the L.E.P .C.
23. NOTICES. Any notice required or permitted to be given under this Agreement shall be in
writing and shall be served by delivery or by certified mail upon each party to this Agreement at
the addresses set forth in Appendix A.
IN WITNESS WHEREFORE, the parties hereto have given their respective consents
and execute this Agreement by and through their respective officers duly authorized.

· This Agreement is not individually executed with each entity listed in the Recitals and in
Appendix A. There is one Master Agreement which will include the individual signature page
for each agency. All of the signature pages will then be incorporated into the Master, adopted by
the Board of Supervisors and filed with the Pima County Recorder. Immediate notification is
needed if there is any objection to this course of action.
· The Mt. Lemmon Fire District has chosen not to formally participate. Therefore, it will be
necessary for us to obtain your consent to remove them from the Recitals A(15) and Appendix
A, paragraph 15. A copy of the letter from Chief John Roads is attached for your review.

As we move through the lengthy process of executing the Intergovernmental Agreement regarding

Two of the agencies originally involved in the Response Team, Mt. Lemmon Fire Department and
Why Fire Department, have opted to withdraw. Unfortunately, it is necessary to advise you of a
third:
> The Corona de Tucson Fire Department has chosen not to formally participate. Therefore, it
will be necessary for us to obtain your consent to remove them from the Recitals A(8) and
Appendix A, paragraph 8. A copy of the letter from Chief Bruce Whitehouse is enclosed for
your review. Please indicate your assent to these changes, prior to final County execution
and recording, by initialing th!s letter and returning it to me in the enclosed envelope.

As we move through the lengthy process of executing the Intergovernmental Agreement
regarding the Pima County Hazardous Materials Response Team, several issues have required
your attention. Two of the agencies originally involved in the Response Team, Mt. Lemmon
Fire Department and Why Fire Department, have opted to withdraw. Unfortunately, it is
necessary to advise you of a third:
The Corona de Tucson Fire Department has chosen not to formally participate.
Therefore, it will be necessary for us to obtain your consent to remove them from the
Recitals A(8) and Appendix A, paragraph 8. A copy of the letter from Chief Bruce
Whitehouse is enclosed for your review. Please indicate your assent to these changes,
prior to final County execution and recording, by initialing this letter and returning it to
me in the enclosed envelope.

I reviewed our statistics for the last several years. We had no hazardous materials reponses
in 1999. As of 9/13/99 we have responded to 357 alarms so far with no hazardous materials
related calls. That makes 871 emergency dispatches since Jan. 1998 that have not required
hazardous materials expertise. The cost in manpower and equipment has been zero for the
Corona de Tucson Fire District. We do not know where the hazardous materials response
tem is going to come from, or who is going to be on ity who the lead agency is going to be,
or where any of this stands. If we do need a higher level than we can provide as rwelEMS
first response, we will contact MEDS, Pima (RMFD dispatch), or DPS/FCSO and advise
somebody that it is over our heads. Our board and legal advisor have looked at the IGA
and do not like the wording of the indemnific2tion paragraph on page 4 (paragraph 9) and
have opted not to sign -the agreement. Keep us informed on any further changes in the
forming and manning of 2 organized hax mat team.

We are in receipt of your executed Intergovernmental Agreement regarding the Pima County Hazardous

This Agreement is not individually executed with each entity listed in the Recitals and in
Appendix A. There is one Master Agreement which will include the individual signature page
for each agency. All of the signature pages will then be incorporated into the Master, adopted by
the Board of Supervisors and filed with the Pima County Recorder. Immediate notification is
needed if there is any objection to this course of action.
The Mt. Lerni-non Fire District has chosen not to formally participate. Therefore, it will be
necessary for us to obtain your consent to remove them from the Recitals A(I 5) and Appendix
A, paragraph 15. A copy of the letter from Chief John Roads is attached for your review.

I did receive the five original copies of the IGA related to hazardous materials release
response within our community by the Pima County Hazardous Materials Response
Team.
The Mt. Lemmon Fire District Board has had legal counsel review the, submitted copies
of the proposed IGA. MLFD is not in any financ ial position to accept the liabilities
established in the agreement. The Mt. Lemim6n FireBoard cannot accept liability for
actions occurring outside this District. Legal ,counsel h a is, advised the FireBoard not to
sip this agreement.
