A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF MARANA, ARIZONA,
APPROVING AND AUTHORIZING THE EXECUTION OF AN INTERGOVERNMENTAL
AGREEMENT BETWEEN THE TOWN OF MARANA AND P1MA COUNTY FLOOD
CONTROL DISTRICT FOR DEVELOPMENT OF THE LOWER SANTA CRUZ FLOOD
CONTROL LEVEE PROJECT.
WHEREAS, the Town of Marana has determined that it is in the public interest to participate
with the Pima County Flood Control District ("District") and other sponsors in flood control projects
within the Town; and
WHEREAS, the Town has been working with District representatives to prepare an effective
flood control plan for the lower Santa Cruz River, and has prepared an Intergovernmental Agreement
in compliance with the terms of said plan; and
WHEREAS, the Town and District wish to enter into this Intergovernmental Agreement
pursuant to A.R.S. § 11-952 to protect against possible flooding of the lower Santa Cruz River into
the Town.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Town of
Marana, Arizona, that the Town enter into the Intergovernmental Agreement attached hereto
between the Town of Marana and Pima County Flood Control District for the development of the
Lower Santa Cruz River Flood Control Levee Project, subject to the approval of the Pima County
Board of Supervisors.
PASSED AND ADOPTED by the Mayor and Council of the Town of Marana, Arizona, this

Intergovernmental Agreement

and

relating to
The Lower Santa Cruz River Flood Control Levee Project
This Intergovernmental Agreement is entered into this _ day of November, 1997,
pursuant to A.R. S. § 11-952, by and between the Pima County Flood Control District, a county flood
control district authorized pursuant to A-R- S. § 48-3601 et seq., CDistrict") and the Town of Marana,
an Arizona municipal corporation CMarana").
Recitals
A. A-R-S.§ 48-3610 etseq. provides for the formation of flood control districts and imposes
upon districts the obligation of regulating floodplains and constructing, operating and
maintaining flood control works within the district.
B. Pursuant to A.R-S.§ 48-3601 et. seq., Pima County has formed the Pima County Flood
Control Distriu?.
C. Certain areas within the vicinity of Marana along the Santa Cruz River are prone to
severe and repeated flooding and subsequent soil erosional losses caused by storm water
runoff within the Santa Cruz River basin upstream of Marana.
D. The District and Marana have declared emergencies due to this flooding and has
determined that these losses are a serious impediment to the safety and quality of life, the
environment and economic well being of the community.
E. District has determined, through its studies and efforts, that it is feasible, and within the
scope of its authority granted by A-R.S.§ 48-3603, to construct certain flood control
works collectively known as the Lower Santa Cruz River Flood Control Levee Project
(hereinafter "Levee Projece') to reduce future flooding and erosion losses within Marana
and adjacent areas.
NOW, TIBEREFORE, in consideration of the covenants and conditions herein contained, the
District and Marana agree as follows:
L Purposes. The primary purposes of this Intergovernmental Agreement are:
A- to set forth the responsibilities of District regarding the design, construction, and
ownership of the Levee Project;

B. to provide for repayment by Marana to the District of certain costs of the Levee Project
and for the acquisition of land rights by Marana;
C. to address legal and administrative matters among the parties.
II. Description of Levee Project; Cost; FEMA; Permits; Construction.
A. Description of Levee PrWect. A summary description of the Levee Project is attached
hereto and made a part hereof as Exhibit "l" entitled " Description of Levee Project."
B. Estimated total costs of the Levee PrWect. The estimated total cost of the Levee Project
is approximately $15,500,000. Funding in the amount of $6,000,000 is available from
the County's May 1997 bond issue, $ 1,000,000 from the Arizona Department of Water
Resources, $2,480,000 from the Bureau of Reclamation, $4,145,000 from the District
tax levy, and $1,875,000 from the Town of Marana.
C. Federal Emergency Management Agency review, Letters of map revision. District shall
submit the Levee Project plans for review by the Federal Emergency Management
Agency ("FEMA") for a Conditional Letter of Map Revision ("CLOMIU') to determine
new floodplain and floodway limits solely for the Santa Cruz River. After completion
of construction, District shall submit a Letter of Map Revision ("LOMIU') for the Levee
Project.
D. Permits. Marana shall issue all the necessary permits to the District for the Levee Project
at no charge. Pima County will acquire necessary permits from the state and federal
governments.
E. Commencement of constructio . Construction of the Levee Project is currently
scheduled to commence upon acquisition of the necessary rights of way and easements,
which is estimated to occur in 1998.
F. Completion of construction. Construction of the Levee Project shall be diligently
pursued by the District, with completion of the construction currently estimated to be
approximately 18 months after start of construction.
III. Funding; Marana Benefit Amount; Marana Development Fee.
A. District advancement of funds. District agrees to advance a portion of the necessary
funds to construct the Levee Project, subject to the terms and conditions of this
Agreement requiring Marana to repay its share of the costs of construction to District
as described below.
B. Marana Benefit Amount. For purposes of this Agreement, the Marana Benefit Area of
the Levee Project is the Area described on Exhibit 2 and 3. The parties agree that the
amount of reimbursement from Marana to the District shall be $500 per benefitting acre.

The method used to collect the fee from benefitting property owners shall be at the sole
discretion of Marana. It is presently estimated that these revenues, when entirely
collected, will equal approximately $1,875,000. Residential properties within the benefit
area smaller than two acres on or before December 30, 1997 are exempt from payment
of f6es due the District.
C. Payment of Marana Benefit Amount. Marana shall submit annual payments to the
District. The amount of payment shall be based on the building permits in the benefit
area issued in the previous year. The payment shall be based on a $500 per acre prorated
share. A property shall be deemed to have been developed, requiring payment to the
Distric? when a building permit has been issued for the property or for a portion of the
property in the case of incremental development, or the use of a property or portion of
a property is altered from the use and condition of the property existing at the effective
date of this contract except that buildings and uses solely for the purpose of agriculture
are exempt from payment.
D. Marana Development Fee for Levee Prpiect. District understands that Marana intends
to adopt policies, procedures and ordinances designed to levy and collect from new
development within the Marana Benefit Area monies to pay District. The method used
to collect the fee from benefitting property owners will be at the sole discretion of
Marana.
E. Credit for Land Rights Dedication. Land dedicated for levee constniction shall not be
assessed under the Marana Benefit Area.
IV. District Responsibility for Construction of the Levee Project.
A- Administration of design and construction. District shall administer the design and
construction of the Levee Project. District will submit design phases to Marana for
review and approval.
B. Marana design and construction participation. District design and field personnel shall
work with their counterparts in the Town of Marana for coordination purposes.
Coordination shall include meetings and information exchanges between corresponding
personnel at all levels for the Levee Project. District shall provide a unified point of
contact to Marana for this Levee Project. Marana shall do the same. Following
completion of the Levee Project design, the working drawings and specifications shall
be provided to Marana for comment. District shall allow Marana personnel reasonable
access to the Levee Project site before, during, and after construction.
V. Marana Acquisition of Easements and Land Rights. Marana shall acquire all
necessary easements from benefitting properties for construction, access and maintenance of
the levee project within the Town of Marana. The District shall acquire all necessary
easements and rights-of-way from non-benefitting properties, including the State Land
Department. When property adjacent to the levee is developed, Marana shall require the
easement to be dedicated in fee simple.

VL Marana Local Drainage Plan. Marana shall develop a plan to convey and transport
local drainage generally north of the levee, through the levee to the Santa Cmz River. Any
modification of the levee to accommodate local drainage requires review and approval of
plans for same and issuance of a permit for construction by the District. The District will
inspect and approve all work that alters or modifies the levee.
viL Ownershill, Maintenance and Permit Responsibilities after Construction
A. OwnershiI2. The District shall own and maintain the levee structure in perpetuity.
B. Marana, Land Use Pemiits. For the purpose of preserving the structural integrity of the
levee, the District shall review and approve any activity in the floodway and floodplain
or within 300 feet north of the centerfine of construction of the levee that may affect the
stability of the levee, including but not limited to sand and gravel operations, excavation,
drainage facilities, and diversions of drainage waters. The 300 foot area may be reduced
based on the adoption of a Marana Levee Protection Ordinance approved by the District.
Marana shall have responsibility for enforcement actions necessary to prevent activities
which may impair the structural stability of the levee. Should Marana dispute the
technical findings of the District regarding District review of a proposed adverse activity,
the matter will be submitted to the U.S. Army Corps of Engineers, Los Angeles District,
for review and comment.
VM. Indemnification.
A. Maran Marana shall indemnify, defend and hold the District and its officers, employees
and agents harmless against any and all suits, actions, legal or administrative
proceedings, claims, demands, liens, losses, fines or damages, including consequential
damages, liability, interest, attorney's and accountant's fees or costs and expenses of
whatsoever kind and nature, which are in any manner directly or indirectly caused,
occasioned or contributed to, by reason of any act, omission, fault, negligence, violation
or alleged violation of any law, whether active or passive, of Marana, its agents,
employees or anyone acting under its direction, control or on its behalf, in connection
with or incident to the performance of this Agreement.
B . District. District shall indemnify, defend and hold Marana and its officers, employees and
agents harmless against any and all suits, actions, legal or administrative proceedings,
claims, demands, liens, losses, fines or damages, including consequential damages,
liability, interest, attomeys and accountant's fees or costs and expenses of whatsoever
kind and nature, which are in any manner directly or indirectly caused, occasioned or
contributed to, by reason of any act, omission, fault, negligence, violation or alleged
violation of any law, whether active or passive, of District, its agents, employees or
anyone acting under its direction, control or on its behalf, in connection with or incident
to the performance of this Agreement.

C. Survival of indemnification provisions. Every provision of this indemnification section
shall survive the termination of this Agreement.
IX. Insurance. Prior to starting work, each party shall provide proof to the other of their
worker's compensation, automobile, accident property damage, and liability coverage or
program of self-insurance.
x. Ownership of Records. All drawings, records, documentation and correspondence shall
be the property of District at the completion of the Project except for copies maintained by
Marana for its records.
XL Notices. All notices shall be in writing and together with other mailings pertaining to this
Agreement shall be made to:

m Construction and Interpretation. All provisions of this Agreement shall be construed
to be consistent with the intention of the parties as expressed in the recitals hereof
X Amendmen . This Agreement shall not be amended except by written instrument mutually
agreed upon and executed by the parties.
XIV. Entire Agreement. This Agreement, its Exhibits and its recitals which are included
herein, constitutes the entire agreement between the parties, and includes all prior oral and
written agreements of the parties.
Xv. Anti-Discrimination. The provisions of A-R-S. § 41-1463 and Executive Order Number
75-5 issued by the Governor of the State of Arizona are incorporated by this reference as a
part of Ws Intergovernmenml Agreement.
XVL Legal Jurisdiction.

A. Legal Jurisdiction. Nothing in this Agreement shall be considered as either limiting or
extending the legal jurisdiction of either District or Marana.
B . No - joint ventu . It is not intended by this Intergovernmental Agreement to, and nothing
contained in this Intergovernmental Agreement shall be construed to, create any
partnership, joint venture or employment relationship between the parties or create any
ernployer-employee relationship between Marana and any District employees, or between
the District and any Marana employees. Neither party shall be liable for any debts,
accounts, obligations or other liabilities whatsoever of the other, including (without
limitation) the other party's obligation to withhold Social Security and income taxes for
itself or any of its employees.
XVIL Term; Termination.
A. Effective Date and Duratio . This Intergovernmental Agreement shall be effective on the
date it is recorded with the Pima County Recorder and shall remain in effect until June
30, 2030 unless terminated by either party.
B. Termination.
For cause. A party may terminate this Agreement for material breach of the
Agreement by the other party. Prior to any termination under this paragraph, the
party allegedly in default shall be given written notice by the other party of the
nature of the alleged default. The party said to be in default shall have forty-five
days to cure the default. If the default is not cured within that time, the other party
may terminate this Agreement. Any such termination shall not relieve either party
from liabilities or costs already incurred under this Agreement.
a. Waive . Waiver by either party of any breach of any term, covenant or
condition herein contained shall not be deemed a waiver of any other term,
covenant or condition, or any subsequent breach of the same or any other term,
covenant, or condition herein contained.
b. Force mAjeure. A party shall not be in default under this Agreement if it does
not fulfill any of its obligations under this Agreement because it is prevented
or delayed in doing so by reason of uncontrollable forces. The term
"uncontrollable forces" shall mean, for the purpose of this Agreement, any
cause beyond the control of the party affected, including but not limited to
failure of facilities, breakage or accident to machinery or transmission facilities,
weather conditions, flood, earthquake, lightning, fire, epidemic, war, riot, civil
disturbance, sabotage, strike, lockout, labor dispute, boycott, material or
energy shortage, casualty loss, acts of God, or action or non-action by
governmental bodies in approving or failing to act upon applications for
approvals or permits which are not due to the negligence or willful action of
the parties, order of any government officer or court (excluding orders
promulgated by the parties themselves), and declared local, state or national

emergency, which, by exercise of due diligence and foresight, such party could
not reasonably have been expected to avoid. Either party rendered unable to
fulfill any obligations by reason of uncontrollable forces shall exercise due
diligence to remove such inability with all reasonable dispatch.
2. At will. This Intergovernmental Agreement may be terminated by District or
Nlarana by giving 120 days written notice. Such termination shall not relieve either
party from those liabilities or costs already incurred under this Intergovernmental
Agreement.
3. AR.S. § 38-511. This Intergovernmental Agreement is subject to the provisions of
A-R.S. § 38-511.
4. Non-appropriatio . Notwithstanding any other provision in this Intergovernmental
Agreement this Intergovernmental Agreement may be terminated if for any reason
the Marana Town Council or the Pima County Flood Control District Board of
Directors do not appropriate sufficient monies for the purpose of maintaining this
Intergovernmental Agreement. In the event of such cancellation, Marana and
District shall have no further obligation to the other party other than for payment
for services rendered prior to cancellation.
5. Severabili . In the event that any provision of this Agreement or the application
thereof is held invalid, such invalidity shall have no effect on other provisions and
their application which can be given effect without the invalid provision or
application, and to this extent the provisions of the Agreement are severable.
6. Ownership of PropeM ul2on Termination. Any termination of this
Intergovernmental Agreement shall not relieve any party from liabilities or costs
already incurred under this Intergovernmental Agreement, nor effect any ownership
of the Project constructed pursuant to this Intergovernmental Agreement.
In witness whereof, the parties hereto have hereunto set their hands the day and year first
above written.

RESOLUTION OF THE BOARD OF DIRECTORS OF PIMA COUNTY FLOOD CONTROL
DISTRICT ARIZONA; RELATING TO THE LOWER SANTA CRUZ RIVER FLOOD
CONTROL LEVEE PROJECT WITHIN AND ADJACENT TO THE TOWN OF MARANA,
APPROVING AND AUTHORIZING EXECUTION OF AN INTERGOVERNMENTAL
AGREEMENT BETWEEN THE TOWN OF MARANA (TOWN), AND PIMA COUNTY FLOOD
CONTROL DISTRICT (DISTRICT).
WHEREAS, the State Legislature in enacting A.R.S.§48-3610 et.
seq., has provided for the formation of flood control districts and
imposed upon such districts the obligation of regulating
floodplains, constructing, operating and maintaining flood control
works within the district; and
WHEREAS, pursuant to A.R.S.§48-3601 et. seq., Pima County has
formed the Pima County Flood Control District; and
WHEREAS, A.R.S.§48-3610 et seq., allows cities and towns to
exercise jurisdiction in matters of land use within flood hazard
areas through floodplain management regulation; and
WHEREAS, certain areas within Town limits are prone to severe
and repeated flooding and subsequent soil erosional losses caused
by storm water runoff within the Santa Cruz River basin upstream of
TOWN; and
WHEREAS, The District and Town have declared emergencies due
to this flooding and have determined that these losses are a
serious impediment to the safety and quality of life, the
environment and economic well being of the community; and
WHEREAS, the District has determined, through its studies and
efforts, that it is feasible, and within the scope of its authority
granted by A.R.S. § 48-3603, to construct certain flood control
works collectively known as the Lower Santa Cruz River Flood
Control Levee Project to reduce future flooding and erosion losses
within the Town and adjacent areas; and
WHEREAS, the District has determined approximated costs of a
Levee project and secured federal and State funds for a major
portion of the project which will require fiscal participation from
the TOWN and the District; and
WHEREAS, the District and Town have determined that the
majority of the benefitted area of the Levee project lies within
the Town limits.

NOW, THEREFORE, be it resolved by the Board of Directors to
approve the Intergovernmental Agreement between the Pima County
Flood Control District and the Town of Marana as stated above; and
THAT, the Chairman of the Board of Directors is hereby
instructed and authorized to sign said Intergovernmental Agreement
for the Pima County Flood Control District Board of Directors; and
THAT, the various Pima County Flood Control District officers
and employees be and hereby are, authorized and directed to perform
all acts necessary and desirable to give effect to this Resolution.

Yhis Intergovernmental Agreement is entered into this - day of November, 1997,
pursuant to A.R-S. § 11-952, by and between the Pima County Flood Control District? a county flood
control district authorized pursuant to A-R-S.§ 48-3601 etseq., CUstrict") and the Town of Marana,
an Arizona municipal corporation ("Marana").
Recitals
A- A.R-S.§ 48-3610 etseq. provides for the formation of flood control districts and imposes
upon districts the obligation of regulating floodplains and constructing, operating and
maintaining flood control works within the district.
B. Pursuant to A.R-S.§ 48-3601 et. seq., Pima County has formed the Pima County Flood
Contf ol District.
C. Certain areas within the vicinity of Marana along the Santa Cruz River are prone to
severe and repeated flooding and subsequent soil erosional losses caused by storm water
runoff within the Santa Cruz River basin upstream of Marana.
D. The District and Marana have declared emergencies due to this flooding and has
determined that these losses are a serious impediment to the safety and quality of life, the
environment and economic well being of the community.
E. District has determined, through its studies and efforts, that it is feasible, and within the
scope of its authority granted by A.R-S.§ 48-3603, to construct certain flood control
works collectively known as the Lower Santa Cruz River Flood Control Levee Project
(hereinafter "Levee Projecf) to reduce future flooding and erosion losses within Marana
and adjacent areas.
NOW, THEREFORE, in consideration of the covenants and conditions herein contained, the
District and Marana agree as follows:
L Purposes. The primary purposes of this Intergovernmental Agreement are:
A- to set forth the responsibilities of District regarding the design, construction, and
ownership of the Levee Project;

B. to provide for repayment by Marana to the District of certain costs of the Levee Project
and for the acquisition of land rights by Marana;
C. to address legal and administrative matters among the parties.
II. Description of Levee Project; Cost; FEMA; Permits; Construction.
A. Description of Levee Ppaiect. A summary description of the Levee Project is attached
hereto and made a part hereof as Exhibit " 1 " entitled " Description of Levee Project."

is approximately $15,500,000. Funding in the amount of $6,000,000 is available from
the County's May 1997 bond issue, $1,000,000 from the Arizona Department of Water
Resources, $2,480,000 from the Bureau of Reclamation, $4,145,000 from the District
tax levy, and $1,875,000 from the Town of Marana.
C. Federal Emerizency Management Agency review, Letters of map revisio . District shall
submit the Levee Project plans for review by the Federal Emergency Management
Agency ("FEMA7) for a Conditional Letter of Map Revision ("CLONHU') to determine
new floodplain and floodway limits solely for the Santa Cruz River. After completion
of construction, District shall submit a Letter of Map Revision ("LONa') for the Levee
Project.
D. Permits. Marana shall issue all the necessary permits to the District for the Levee Project
at no charge. Pima County will acquire necessary permits from the state and federal
governments.
E. Commencement of constructio . Construction of the Levee Project is currently
scheduled to commence upon acquisition of the necessary rights of way and easements,
which is estimated to occur in 1998.
F. Completion of construction. Construction of the Levee Project shall be diligently
pursued by the District, with completion of the construction currently estimated to be
approximately 18 months after startof construction.
IU. Funding; Marana Benefit Amount; Marana Development Fee.
A. District advancement of funds. District agrees to advance a portion of the necessary
funds to construct the Levee Project, subject to the terms and conditions of this
Agreement requiring Marana to repay its share of the costs of construction to District
as described below.
B. Marana Benefit Amount. For purposes of this Agreement, the Marana Benefit Area of
the Levee Project is the Area described on Exhibit 2 and 3. The parties agree that the
amount of reimbursement from Marana to the District shall be $500 per benefitting acre.

The method used to collect the fee from benefitting property owners shall be at the sole
discretion of Marana. It is presently estimated that these revenues, when entirely
collected, will equal approximately $1,875,000. Residential properties within the benefit
area smaller than two acres on or before December 30, 1997 are exempt from payment
of fees due the District.
C. Pa?ment of Marana Benefit Amount. Marana shall submit annual payments to the
District. The amount of payment shall be based on the building permits in the benefit
area issued in the previous year. The payment shall be based on a $500 per acre prorated
share. A property shall be deemed to have been developed, requiring payment to the
District, when a building permit has been issued for the property or for a portion of the
property in the case of incremental development, or the use of a property or portion of
a property is altered from the use and condition of the property existing at the effective
date of this contract, except that buildings and uses solely for the purpose of agriculture
are exempt from payment.
D. Marana Development Fee for Levee PrQJect. District understands that Marana intends
to adopt policies, procedures and ordinances designed to levy and collect from new
development within the Marana Benefit Area monies to pay District. The method used
to collect the fee from benefitting property owners will be at the sole discretion of
Marana.
E. Credit for Land Rights Dedication. Land dedicated for levee construction shall not be
assessed under the Marana Benefit Area.
IV. District Responsibility for Construction of the Levee Project.
A- Administration of design and construction. District shall administer the design and
construction of the Levee Project. District will submit design phases to Marana for
review and approval.
B. Marana desiv-n and construction participation. District design and field personnel shall
work with their counterparts in the Town of Marana for coordination purposes.
Coordination shall include meetings and information exchanges between corresponding
personnel at all levels for the Levee Project. District shall provide a unified point of
contact to Marana for this Levee Project. Marana shall do the same. Following
completion of the Levee Project design, the worldng drawings and specifications shall
be provided to Marana for comment. District shall allow Marana, personnel reasonable
access to the Levee Project site before, during, and after construction.
V. Marana Acquisition of Easements and Land Rights. Marana shall acquire all
necessary easements from benefitting properties for construction, access and maintenance of
the levee project within the Town of Marana. The District shall acquire all necessary
easements and rights-of-way from non-benefitting properties, including the State Land
Department. When property adjacent to the levee is developed, Marana shall require the
easement to be dedicated in fee simple.

VL Marana Local Drainage Plan. Marana shall develop a plan to convey and transport
local drainage generally north of the levee, through the levee to the Santa Cruz River. Any
modification of the levee to accommodate local drainage requires review and approval of
plans for same and issuance of a permit for construction by the District. The District win
inspect and approve all work that alters or modifies the levee.
VM Ownership, Maintenance and Permit Responsibilities after Construction.
A- Ownership. The District shall own and maintain the levee structure in perpetuity.
B. Marana Land Use Permits. For the purpose of preserving the structural integrity of the
levee, the District shall review and approve any activity in the floodway and floodplain
or within 300 feet north of the centerline of construction of the levee that may affect the
stability of the levee, including but not limited to sand and gravel operations, excavation,
drainage facilities, and diversions of drainage waters. The 300 foot area may be reduced
based on the adoption of a Marana Levee Protection Ordinance approved by the District.
Nfarana shall have responsibility for enforcement actions necessary to prevent activities
which may impair the structural stability of the levee. Should Marana dispute the
technical findings of the District regardirig District review of a proposed adverse activity,
the matterwrill be submitted to the U.S. Army Corps of Engineers, Los Angeles District,
for review and comment.
VM. Indemnification.
A- Maran . Marana shall indemnify, defend and hold the District and its officers, employees
and agents harmless against any and all suits, actions, legal or administrative
proceedings, claims, demands, Hens, losses, fines or damages, including consequential
damages, liability, interest, attorney's and accountant's fees or costs and expenses of
whatsoever kind and nature, which are in any manner directly or indirectly caused,
occasioned or contributed to, by reason of any act, omission, fault, negligence, violation
or alleged violation of any law, whether active or passive, of Marana, its agents,
employees or anyone acting under its direction, control or on its behalf, in connection
with or incident to the performance of this Agreement.
B . District. District shall indemnify, defend and hold Marana and its officers, employees and
agents harmless against any and all suits, actions, legal or administrative proceedings,
claims, demands, Hens, losses, fines or damages, including consequential damages,
liability, interest, attorney's and accountant's fees or costs and expenses of whatsoever
kind and nature, which are in any manner directly or indirectly caused, occasioned or
contributed to, by reason of any act, orriission, fault, negligence, violation or alleged
violation of any law, whether active or passive, of District, its agents, employees or
anyone acting under its direction, control or on its behalf, in connection with or incident
to the performance of this Agreement.

C. Survival of indemnification provisions. Every provision of this indemnification section
shall survive the termination of this Agreement.
IX. Insurance. Prior to starting work, each party shall provide proof to the other of their
worker's compensation, automobile, accident, property damage, and liability coverage or
program of self-insurance.
X. Ownership of Records. All drawings, records, documentation and correspondence shall
be the property of District at the completion of the Project except for copies maintained by
Marana for its records.
XI. NOtiCeS. All notices shall be in writing and together with other mailings pertaining to this
Agreement shall be made to:

XIL Construction and Interpretation. All provisions ofthis Agreement shall be construed
to be consistent with the intention of the parties as expressed in the recitals hereof
XIM Amendmen . This Agreement shall not be amended except by written instrument mutually
agreed upon and executed by the parties.
NIV. Entire Agreement. This Agreement, its Exhibits and its recitals which are included
herein, constitutes the entire agreement between the parties, and includes all prior oral and
written agreements of the parties.
Xv. Anti-Discrimination. The provisions of A-R-S. § 41-1463 and Executive Order Number
75-5 issued by the Governor of the State of Arizona are incorporated by this reference as a
part of this Intergovernmental Agreement.
XVL Legal Jurisdiction.

A- Legal -jurisdiction. Nothing in this Agreement shall be considered as either limiting or
extending the legal jurisdiction of either District or Marana.
B . No - joint ventu, . It is not intended by this Intergovernmental Agreement to, and nothing
contained in this Intergovernrnental Agreement shall be construed to, create any
partnership, joint venture or employment relationship between the parties or create any
employer-employee relationship between Marana and any District employees, or between
the District and any Marana employees. Neither party shall be liable for any debts,
accounts, obligations or other liabilities whatsoever of the other, including (without
limitation) the other party's obligation to withhold Social Security and income taxes for
itself or any of its employees.
XVIL Term; Termination.
A- Mctive Date and Duration. This Intergovernmental Agreement shall be effective on the
date it is recorded with the Pima County Recorder and shall remain in effect until June
30, 2030 unless terminated by either party.
B. Termination.
1. For cause. A party may terminate this Agreement for material breach of the
Agreement by the other party. Prior to any termination under this paragraph, the
party allegedly in default shall be given written notice by the other party of the
nature of the alleged default. The party said to be in default shall have forty-five
days to cure the default. If the default is not cured within that time, the other party
may terminate this Agreement. Any such termination shall not relieve either party
from liabilities or costs already incurred under this Agreement.
a. Waive . Waiver by either party of any breach of any term, covenant or
condition herein contained shall not be deemed a waiver of any other term,
covenant or condition, or any subsequent breach of the same or any other term,
covenant, or condition herein contained.
b. Force ma ' jeure. A party shall not be in default under this Agreement if it does
not fulfill any of its obligations under this Agreement because it is prevented
or delayed in doing so by reason of uncontrollable forces. The term
"uncontrollable forces" shall mean, for the purpose of this Agreement any
cause beyond the control of the party affected, including but not limited to
failure of facilities, breakage or accident to machinery or transmission facilities,
weather conditions, flood, earthquake, lightning, fire, epidemic, war, riot, civil
disturbance, sabotage, strike, lockout, labor dispute, boycott, material or
energy shortage, casualty loss, acts of God, or action or non-action by
governmental bodies in approving or failing to act upon applications for
approvals or permits which are not due to the negligence or willful action of
the parties, order of any government officer or court (excluding orders
promulgated by the parties themselves), and declared local, state or national

emergency, which, by exercise of due diligence and foresight, such party could
not reasonably have been expected to avoid. Either party rendered unable to
fulfill any obligations by reason of uncontrollable forces shall exercise due
diligence to remove such inability with all reasonable dispatch.
2. At will. This Intergovernmental Agreement may be terminated by District or
Marana by giving 120 days written notice. Such termination shall not relieve either
party from those liabilities or costs already incurred under this Intergovernmental
Agreement.
3. A.R-S, § 38-511. ThisIntergovernmental Agreement is subject to the provisions of
A-R.S. § 38-511.
4. Non-appropHation. Notwithstanding any other provision in this Intergovernmental
Agreement this Intergovernmental Agreement may be terminated if for any reason
the Marana Town Council or the Pima County Flood Control District Board of
Directors do not appropriate sufficient monies for the purpose of maintaining this
Intergovernmental Agreement. In the event of such cancellation, Marana and
District shall have no further obligation to the other party other than for payment
for services rendered prior to cancellation.
5. Severabili . In the event that any provision of this Agreement or the application
thereof is held invalid, such invalidity shall ha ire no effect on other provisions and
their application which can be given effect without the invalid provision or
application, and to this extent the provisions of the Agreement are severable.
6. Ownership of Prol2eM upon Termination. Any termination of this
Intergovernmental Agreement shall not relieve any Party from liabilities or costs
already incurred under this Intergovernmental Agreement, nor effect any ownership
of the Project constructed pursuant to this Intergovernmental Agreement.
In witness whereof, the parties hereto have hereunto set their hands the day and year first
above written.
