FOR THE PURPOSE OF PROVIDING WAN/NETWORKING SERVICES TO THE TOWN; AND DECLARING AN EMERGENCY WHEREAS the Town of Marana completed a competitive procurement process to select a contractor to provide WAN/Networking services to the Town, including maintenance and/or re- placement ofthe Town's existing connectivity, provision of additional connectivity and management and security services for the Town's network; and WHEREAS the selection committee for the WAN/Networking procurement selected Trans- World Network, Corp. (TWN) as the contractor for the WAN/Networking services; and WHEREAS the Mayor and Council of the Town of Marana find that the proposed Profes- sional and Technical Services Agreement is in the best interests of the Town and the public. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE TOWN OF MARANA, as follows: SECTION 1. The Professional and Technical Services Agreement between TransWorld Net- work, Corp. (TWN) and the Town of Marana attached to and incorporated by this reference in this resolution as Exhibit A is hereby approved, and the Finance Director is hereby authorized to execute it for and on behalf of the Town of Marana. SECTION 2. The Town's Manager, Technology Services Director, and staff are hereby di- rected and authorized to undertake all other and further tasks required or beneficial to carry out the terms, obligations, and objectives of the Professional and Technical Services Agreement. SECTION 3. Since it is necessary for the preservation of the peace, health and safety of the Town of Marana that this resolution become immediately effective, an emergency is hereby declared to exist, and this resolution shall be effective immediately upon its passage and adoption. nd Council of the Town f Marana, Arizona, Mayor d onea APPR VED AS TO FORM: ~~F Cassidy, Town Attorney {ooozoos6.DOC i} 7 ARANA ~ q TOWN OF MARANA, ARIZONA FINANCE DEPARTMENT 11555 WEST CIVIC CENTER DRNE MARANA, AZ 85653 PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT Agreement Number: THIS AGREEMENT IS MADE AND ENTERED INTO by and between the TOWN OF MARANA, an Arizona municipal corporation (the "Town"), and TRANSWORLD NETWORK, CORP., a Minnesota corporation (the "Contractor"), for the purpose of providing WAN/Networking services to the Town. The Town and the Contractor are sometimes collectively referred to as the "Parties," each of which is sometimes individually referred to as a "Party." ARTICLE 1. SCOPE OF WORK 1.Ol.On August 24 2009, the Town issued "Request for Proposals #2009-608 for WAN/Networking Services" (the "WAN/Networking RFP"). The professional and technical services to be performed by the Contractor under this Agreement shall be as described in this Agreement and as set forth in the following: 1.01.01. The WAN/Networking RFP, attached as Exhibit Al, the Marana Wireless WAN Invitation for Best and Final Offer dated December 18, 2009, attached as Exhibit A2, and the Technical Terms Summary dated March 8, 2010, attached as Exhibit A3 to this Agreement. 1.01.02. The Contractor's September 21, 2009 proposal in response to the WAN/Networking RFP, attached as Exhibit Bl and the Contractor's January 5, 2010 proposal in response to the Marana Wireless WAN Invitation for Best and Final Offer, attached as Exhibit B2 to this Agreement (the "Contractor's Proposals"). 1.01.03. The Contractor's diagram of the network backbone, attached as Exhibit C to this Agreement. 1.02. If any of the provisions of the attached exhibits conflict with the provisions and specifications contained within Exhibit A3, the provisions and specifications contained within Exhibit A3 shall take precedence and shall control. ARTICLE 2. TERM 2.01. This Agreement shall be effective for athree-year term beginning on April 1, 2010 and ending on March 31, 2013, except as otherwise provided in this Article regarding the Traffic Links and the Secondary Link at the Camino de Manana Construction Trailer. {00020018.DOC / 3} - 1 - 3/17/2010 JF 2.02. Except as otherwise provided in this Article regarding the Traffic Links and the Secondary Link at the Camino de Mariana Construction Trailer, the Town, at its sole discretion, acting through its Finance Director, may renew this Agreement for up to three consecutive one-year periods on the same terms as set forth in this Agreement and at the same rates as listed in the fee schedule, Exhibit D, by executing a letter of renewal signed by the Finance Director and the Contractor. 2.03. With regard to the Traffic Links and the Secondary Link at the Camino de Mariana Construction Trailer, as described in Exhibits A1, A2 and A3 and Exhibits B1 and B2 and as listed in the fee schedule, Exhibit D, this Agreement shall be effective for an initial one-year term beginning on April 1, 2010 and ending on March 31, 2011. 2.03.01. If at the end of the one-year term for the Traffic Links and the Secondary Link at the Camino de Mariana Construction Trailer, the Town, at its sole discretion, determines that continued service to any or all of the Traffic Links and/or the Secondary Link at the Camino de Mariana Construction Trailer is no longer necessary, the Town will provide 60 days written notice to the Contractor of this decision as provided in section 7.03 below and the Town will not be obligated to pay any further service fees in relation to any discontinued service. The Town's written notice will specify which of these links no longer require continued service. 2.03.02. If at the end of the one-year term for the Traffic Links and the Secondary Link at the Camino de Mariana Construction Trailer, the Town, at its sole discretion, determines that continued service to any of the Traffic Links and/or the Secondary Link at the Camino de Mariana Construction Trailer is necessary, the Town, acting through its Finance Director, may extend this Agreement with regard to the Traffic Links that require continued service and/or the Secondary Link at the Camino de Mariana Construction Trailer for up to five consecutive one-year periods on the same terms as set forth in this Agreement and at the same rates as listed in Exhibit D, prorated based on the number of links requiring continued service, by executing a letter of renewal signed by the Finance Director and the Contractor. The letter of renewal will specify which of these links require continued service. 2.04. The term of this Agreement, including all renewals, shall not exceed six years. ARTICLE 3. RELATIONSHIPS 3.01. In the performance of the services described in this Agreement, the Contractor shall act solely as an independent contractor, and nothing expressed or implied in this Agreement shall be construed to create the relationship of employer and employee, partnership, principal and agent, or to create a joint venture between the Town and the Contractor. 3.02. The Contractor shall report to and coordinate duties with the Town's Technology Services Director, Gary Hudman (the "Town Representative"). 3.03. Under the direction of and in coordination with the Town Representative, the Contractor shall work cooperatively with Town staff, officials, boards, commissions, and committees, and with any other agency, organization or individual the Town Representative deems necessary to complete the services described in Article 1 (Scope of Work) of this Agreement. {00020018.DOC / 3} - 2 - 3/17/2010 JF 3.04. Attention: Colin Wood Address: 8600 W. Tangerine Road Marana, Arizona 85563 ARTICLE 4. LIMITATION OF ASSIGNMENT 4.01. For purposes of the work and services performed under this Agreement and the obligations and requirements imposed on the Contractor pursuant to this Agreement, the term "Contractor" shall include the Contractor, Contractor's staff, all sub-contractors identified in the Contractor's Proposals, and all other persons working at Contractor's request or direction as permitted by this Agreement. 4.02. The work and services provided for in this Agreement shall be performed by the Contractor, except as otherwise provided in this Article or approved in writing by the Town Representative and the Finance Director. 4.03. Secretarial, clerical, and similar incidental services needed to assist the Contractor in performance of this Agreement are not subject to the limitations of section 4.01 above. 4.04. Neither this Agreement nor any interest or rights under this Agreement may be assigned or transferred by the Contractor without the express written consent of the Finance Director. ARTICLE 5. WORK PRODUCT 5.01. All of Contractor's "Work Product" (including without limitation all reports, drawings, designs, specifications, notebooks, tracings, photographs, negatives, fmdings, recommendations, data and memoranda of every description) prepared in connection with or relating to the services described in this Agreement and in completion of it, shall be the property of the Town, and shall not be disclosed to third parties without the express written consent of the Town Representative. 5.02. Except with the express written consent of the Town Representative, the Contractor shall not publish any results of scientific, technical or general interest originating from or existing by virtue of this Agreement in, or by means of, journals, magazines, newspapers, radio broadcasts, or other media of communication. ARTICLE 6. INVOICES AND PAYMENT 6.01. Except as otherwise set forth in or modified by this Article, the Contractor shall charge the rates set forth on the fee schedule, Exhibit D, for all services and work performed by the Contractor under this Agreement. {00020018.DOC / 3} - 3 - 3/17/2010 JF 6.02. For hardware costs, service costs and management costs, Contractor will bill the Town for the annual fees set forth in Exhibit D in 12 equal monthly installments for each year of this Agreement. 6.03. For implementation services as described in Exhibits A1, A2 and A3 and Exhibits B1 and B2 and for additional services such as the addition, removal or relocation of connections as needed to meet the Town's needs and as described in Exhibits A1, A2 and A3, the following method of invoicing and payment shall be used. 6.03.01. The Town Representative may request the Contractor to prepare a detailed description of services and an estimated cost to complete a "Task"-that is, a requested task or group of tasks falling within the services set forth in Article 1 above (Scope of Work). 6.03.02. If the Town Representative approves and accepts the Contractor's description and estimate described in section 6.01 above, the Town Representative shall (a) obtain from the Town's Finance Department a "Purchase Order" allocating anot-to-exceed budgeted amount of funds for the Task and (b) issue to the Contractor a "Task Order" for anot-to-exceed amount sufficient, in the Town Representative's opinion, to cover the cost of the Task. 6.03.03. The Contractor shall not submit an invoice covering the cost of a Task, and the Town shall not be financially obligated to pay the Contractor for a Task, unless and until the Town's Finance Department has issued a Purchase Order for the Task. 6.03.04. The Town's financial obligation for the Contractor's performance of a Task shall not exceed the amount of the Purchase Order, as it may be amended from time to time using the process described in sections 6.01 and 6.03.02 above. 6.04. The Contractor shall submit to the Town Representative for processing and payment a monthly invoice which includes (a) the monthly fee for hardware, service and management costs as described in section 6.02 above and (b) the fee for each Task performed under this Agreement as described in section 6.03 above. Each invoice shall include: 6.04.01. The days when the work and services were performed on a particular Task. 6.04.02. Percent of completion of the Task and the milestones or goals achieved pursuant to this Agreement, where applicable. 6.04.03. Reference to Town tracking numbers, including Purchase Order and Task Order numbers, authorizing payment for the work and services addressed by the invoice. 6.05. The Contractor shall be liable for all taxes applicable to the proceeds received by the Contractor under this Agreement. The Town shall not withhold or pay federal, social security, or state income taxes or worker's compensation out of the proceeds payable by the Town under this Agreement, unless duly ordered to do so by a court or other government authority with jurisdiction. 6.06. Except as otherwise set forth in this Article, the Town shall pay the Contractor within 30 days after the Town Representative approves the Contractor's invoice or any portion of it. 6.07. The Town may withhold final payment for each Task until the Town is satisfied that the Contractor has complied with all the obligations specified in this Agreement related to the Task. 6.08. Any rework required by the Town to satisfy the requirements or performance of this Agreement shall be at the sole expense of the Contractor. {00020018.DOC / 3} - 4 - 3/17/2010 JF ARTICLE 7. TERMINATION AND BREACH 7.01. The Contractor may terminate this Agreement upon not less than 60 days written notice to the Town Representative and the Finance Director if the Town fails to perform its obligations under this Agreement through no fault of the Contractor. 7.02. The Town may terminate this Agreement with or without cause upon 60 days written notice to the Contractor. 7.03. This Agreement may be terminated if for any reason the Town Council does not appropriate sufficient funds for the purpose of maintaining this Agreement. 7.04. Upon termination, the Town shall have no further obligation to Contractor, other than for payment of acceptable services rendered prior to termination. 7.05. Either Party may pursue any remedies available to it for the breach of this Agreement, and no right or remedy is intended to be exclusive of any other right or remedy existing at law or at equity or by virtue of this Agreement. ARTICLE 8. INDEMNIFICATION The Contractor agrees to defend, save, hold harmless, and indemnify the Town, its officials, employees, agents, successors, and assigns from and against any and all manner of claims, suits, lawsuits, action or actions, causes or causes of action, liabilities, damages, and other claims and demands of whatsoever nature or kind, in law or in equity, in tort or in contract, or otherwise caused by or resulting from the Contractor's errors, omissions, or intentional or negligent acts in the performance of services pursuant to this Agreement. ARTICLE 9. INSURANCE 9.01. The Contractor shall maintain insurance with the following required coverages and limits: Worker's Compensation Employer's Liability Comprehensive General Liability Business Auto Liability Professional Liability Statutory U.S. $1,000,000 U.S. $1,000,000 per occurrence U.S. $2,000,000 aggregate U.S. $1,000,000 combined single limit U.S. $2,000,000 per claim and in the aggregate 9.02. The Town shall be named as an additional insured on the comprehensive general liability insurance policy required by section 9.01 above. 9.03. The Contractor acknowledges that it has provided to the Town, and- shall provide to the Town at all times while this Agreement is effective, current insurance certificates evidencing insurance coverages and terms required by this article. ARTICLE 10. MISCELLANEOUS PROVISIONS 10.01. The Contractor acknowledges and agrees that barring any unforeseen circumstances, the implementation and transition to a fully operational wide area network (WAN) managed by the Contractor shall take place within 90 days of the effective date of this Agreement. 10.02. The Contractor acknowledges and agrees that if the Town's current network vendor discontinues service under the provisions of the Town's agreement with that vendor, the Contractor will be required to provide full network services within 60 days of the termination of the agreement between the Town and the current vendor in order to maintain Town operations. {00020018.DOC / 3} - 5 - 3/17/2010 JF The Contractor may be required to install temporary equipment and/or unlicensed links in order to maintain operations during this timeframe. 10.03. The Contractor acknowledges and agrees that the Contractor's Network Architect, Larry Arellano, will be on-site and locally based as necessary during the entire transition and implementation phase for the project and that Mr. Arellano will manage the implementation of the new network and will be the Town's primary point of contact for the implementation. 10.04. All equipment, hardware or software purchased by the Town in furtherance of this Agreement shall be the property of the Town, except as otherwise provided in Exhibit A3. Ownership of all other equipment, hardware or software purchased, installed, configured, maintained or serviced under this Agreement shall be determined as set forth in Exhibit A3. 10.05. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Arizona. 10.06. This Agreement represents the entire and integrated agreement between the Parties and supersedes all prior negotiations, representations or agreements, either written or oral. 10.07. If any provision of this Agreement is declared invalid or unenforceable, the remainder shall continue in full force and effect. 10.08. This Agreement may not be changed or modified except by written agreement signed by all Parties. 10.09. All exhibits referenced in and attached to this Agreement are incorporated in and fully made a part of this Agreement by reference. 10.10. The Contractor shall comply with all federal and state equal opportunity laws, orders and regulations and shall not discriminate against any employee or applicant for employment on the basis of age, race, color, religion, sex, disability, national origin, marital status, veteran status, or sexual orientation. 10.11. The Contractor warrants that it complies with all federal immigration laws and regulations that relate to its employees and complies with Arizona Revised Statutes section (A.R.S. §) 23-214 (A). The Contractor acknowledges that pursuant to A.R.S. § 41-4401 and effective September 30, 2008, a breach of this warranty is a material breach of this Agreement subject to penalties up to and including termination of this Agreement, and that the Town retains the legal right to inspect the papers of any employee who works on the Agreement to ensure compliance with this warranty. 10.12. The Contractor certifies that it does not have, nor will it for the duration of this contract have, scrutinized business operations in Sudan or Iran as defined in A.R.S. § 35-391 and A.R.S. § 35-393, respectively. 10.13. Neither Party's waiver of the other's breach of any term or condition contained in this Agreement shall be deemed a waiver of any subsequent breach of the same or any other term or condition of this Agreement. 10.14. Statement of Work 1.1 Purpose and System Scope The purpose of this Request for Proposal (RFP) is to invite prospective vendors to submit a proposal to supply WAN/Networking services to the Town of Marana, which consist of maintenance and/or replacement of the existing connectivity, optional additional connectivity, and management and security services. Management services include monitoring and maintenance of connectivity to ensure reliability and performance of the network, online and/or onsite response in the event of system malfunction within a specified time frame, and maintenance of firewalls, VLAN, and intrusion protection. The RFP provides vendors with the relevant operational, performance, application, and architectural requirements of the system. 1.2 Coverage and Participation The intended coverage of this RFP, and any agreement resulting from this solicitation, shall be for the use of all departments at the Town along with any satellite offices. The Town reserves the right not to enter into any contract, to add and/or delete elements, or to change any element of the coverage and participation at any time without prior notification and without any liability or obligation of any kind. 2. General Information 2.1 The Enterprise The Town of Marana established its current networking infrastructure configuration in 2002 in partnership with a private company that provided networking connectivity between town sites and commercial services to the Marana area. The network topology is currently based entirely on wireless WAN connectivity. Originally, Marana purchased licensed and unlicensed links and the vendor provided network management services in exchange for commercial bandwidth. The technology originally utilized included: • Stratex Altium ATM licensed links on primary connections • Proxim unlicensed links for the satellite stations • Proteus licensed links for the Public Safety T1 channels Over time, most of the original networking equipment failed and has been replaced with service agreements, with the Town purchasing bandwidth on equipment owned and managed by the network services vendor. The current service contracts are up for renewal, and it has been determined that new service contracts will be issued on the basis of the RFI and RFP process. 2.2 Existing. Technology Environment See Section 8.1 Network Configuration Table, 8.2 Motorola Radio System T1 Sideband Date Transmission, and see 8.4 attachment "B." EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 2.3 Selection Process At its discretion, the Town may require any competing vendor to make an oral presentation of their proposal or provide demonstrations or submit further written literature. These presentations provide an opportunity for the vendor to clarify the proposal for the Town. The Town will schedule any such presentations or requests for information. Award/negotiation sequence will be based on a formal methodology established by the Town, which includes review by a tech committee based off of the selection criteria in section 2.4.1. 2.3.1 Disqualification In addition to other rights set forth, the Town may, in its sole discretion, disqualify a Respondent or team member and reject a Submission if: (a) background investigations reveal any criminal affiliations or activities by a Respondent or team member and such affiliations or activities would, in the Town's opinion, interfere with the integrity of the Solicitation; or (b) the Submission includes false or misleading statements, claims or information. 2.4 Award and Evaluation Method Once the proposals are opened, each will be evaluated by a committee selected by the Town, taking into consideration the criteria stipulated in this RFP. The Town, sole judge in evaluation considerations, may make an award to the vendor(s) who submit the proposal judged by the Town to be most advantageous. The Town anticipates awarding one contract only. A recommendation will be presented to the Town Council which conforms to all requirements herein and whose award will be in the best interest of the Town as determined by the Evaluation Committee. The award will only be to responsible vendor(s) licensed and Qualified by experience to perform the services specified herein. All proposals submitted shall be valid for a period of one hundred twenty (120) calendar days from the date of proposal closing. The evaluation of each response to this RFP will be based on the selection criteria. Following the evaluation committee's analysis of the written proposals, negotiations may take place with proposers determined to be most likely to be offered a contract award to ensure clarification and to obtain best and final offers. 2.4.1 Selection Criteria The purpose of this RFP is to identify those suppliers that have the interest, capability, and financial strength to supply the Town with aWAN/Networking services solution identified in the Scope of Work. Proposal Preparation Instructions 3.1 Vendor's Understanding of the RFP In responding to this RFP, the vendor accepts the responsibility to fully understand the RFP in its entirety, and in detail, including making any inquiries to the Town as necessary to gain such understanding. The original shall be clearly marked "original." The proposal shall be prepared with a straight forward, concise delineation of the vendor's capabilities to satisfy the requirements of this RFP. The RFP number, the name of the vendor, and the date and time of closing should be displayed externally on the submittal package. The Town cautions vendors to assure actual delivery of mailed or hand-delivered proposals directly to the Town's Office of the Town Clerk rior to the established deadline. A proposal received by the Town Clerk after the established deadline will be returned, unopened, to the vendor. 3.4.3 Proposal Costs Those submitting proposals do so entirely at their expense. There is no expressed or implied obligation by the Town to reimburse any individual or firm for any costs incurred in preparing or submitting proposals, providing additional information when requested by the Town, or for participating in any selection interviews. 3.4.4 Acceptance Submission of any proposal indicates acceptance of the conditions contained in the RFP unless clearly and specifically noted otherwise in the proposal. 3.4.5 Rejection The Town reserves the right to reject any and all proposals, in whole or in part, to waive any and all informalities, and to disregard all non-conforming, non-responsive or conditional proposals. In the event any or all proposals are rejected, in whole or in part, thereafter the Town, in its sole discretion may initiate a new RFP process including all or part of the components of this Request for Proposals. 3.4.6 Insurance The vendor, if awarded a contract, shall maintain insurance coverage reflecting the minimum amounts and conditions specified by the Town. In the event the vendor is a government entity or aself-insured organization, different insurance requirements may apply. A. This coverage shall extend to any subcontractor that does not have their own Worker's Compensation and Employer's Liability Insurance. Thirty (30) days notice of cancellation is required and must be provided to the Town of Marana via Certified Mail. (See Section 7 Vendor Certification) 3.4.8 Proposal Format In order to facilitate the analysis of responses to this RFP, vendors are required to prepare their proposals in accordance with the instructions outlined in this section. Each vendor is required to submit the proposal in a sealed package. Vendors whose proposals deviate from these instructions may be considered non-responsive and may be disqualified at the discretion of the Town. Proposals should be prepared as simply as possible and provide a straightforward, concise description of the vendor's capabilities to satisfy the requirements of the RFP. The requirements response section of the proposal should be submitted on compact disk AND in hard-copy as part of the submitted document. EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 3.5 Contract Terms and Conditions The WAN/Networking services contract will be awarded to the Proposer or Proposers whose offer is deemed most advantageous to the Town. Unless otherwise indicated in the Request for Proposals, the Town reserves the right to award the contract in whole or in part, by item, by group of items, or by section where such action serves the best interests of the Town. The Town reserves the right to reject any or all proposals, to waive any informality in any proposal, and to negotiate with any proposer. 3.6 Other Terms and Conditions The term of this contract will be for 3 years for all services with the exception of Traffic Intersections which will consist of a 1 year contract. 4. Vendor Qualifications and References All vendors must provide the following information in order for their proposal to be considered: 1. A brief outline of the company's background 2. Description of Local Organization & technical staff qualifications 3. Financial Statement 4. References -list of at least five (5) references that most closely reflect similar consulting projects to the Town of Marana scope of work within the past three (3) years (See Section 7.4) 5. Resumes of Proposer's project staff with a description of their roles on the project. 5. Scope of Work, Specifications and Requirements The existing Marana network infrastructure is a wireless WAN, currently comprised of 5 primary licensed links and 20 additional unlicensed links to satellite offices and traffic intersection locations. See section 8.3, (Attachment "A") for the full list of connections. Additionally, a detailed map, section 8.4 (Attachment "B"), provides detailed location information for all point to point locations. Marana IT staff manages the internal network as well as the switches, servers, desktop and laptop computers, local wireless and wired network, VPN access, and PBX systems. This project consists of maintenance and/or replacement of the existing connectivity and services in a competitive bid process. The replacement of existing connectivity is not restricted to wireless -fiber, copper wire, or other technology and services can be included if the performance specifications are met. Management services include monitoring and maintenance of connectivity to ensure reliability and performance of the network, online and/or onsite response in the event of system malfunction within a specified time frame, and maintenance of firewalls, VLAN, and intrusion protection. In the event that new equipment, vendors and/or services are selected, the implementation of these new services must include a project plan to implement the necessary configuration modifications to ensure reliable and continued service during the transition phase. EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 5.1 Functional Requirements This section outlines the specific requirements for each of the links and services that are covered in this RFP. Vendors may submit proposals for any or all parts of the services described in this section. However, the preferred solution for the Town is to contract with a single company that can provide support and maintenance solutions for all network services, including managing services and connectivity not directly provided. This may require subcontractor agreements by the primary provider in order to manage these services. A. Architectural Goals - A primary concern is maintaining or reducing costs for the overall network. While the intent of the Town is to improve network capabilities, any improvements must be cost effective solutions. The current configuration of wireless capabilities have served the Town well, but future growth and the need for a greater redundancy establishes the need for selection of equipment and services that are scalable, and have automatic failover capabilities and redundancy to ensure a reliable network. Proposed firewall solutions that are industry standard, that have configurations that can be understood and reviewed by Town network technicians, and can readily be recreated is the desired solution over the use of proprietary solutions. For solutions that include wireless equipment, the Town prefers ownership of equipment, with the selected vendor(s) providing maintenance, service and support. This may include lease purchase agreements for new equipment, through the vendor via third party financing. B. WAN Network Topology Options -The following configuration options are those under consideration for this RFP with regards to the primary links. 1. Wireless: Maintain the current Wireless Connectivity. This would include replacing failed/failing links with new equipment, but would not add any additional equipment, capability, or redundancy. 2. Wireless: Improved capacity, failover and redundancy with additional links or new technology. This would include mesh or completing a ring with failover routing. 3. Wired/Wireless: Utilizing a combination of leased wired (fiber or copper) and wireless connectivity may provide greater reliability and performance. 4. Wireless: Leased connectivity that would allow vendor to optimize routing for greatest efficiency. C. Shared Connectivity 8~ Partnership -For Town purchased equipment, the Town will consider the joint use of Point to Point links for commercial purposes in addition to Town uses. This option would require a bandwidth guarantee, full transparency of Town data via SNMP access (or similar method), router and firewall configurations, and the ability to monitor link utilization used by and available to the Town. D. Staff and Vendor Shared Responsibilities -The Technology Services staff would like to have a participatory role in the firewall, security, and routing and switch management in order to meet the day to day operational requirements of the Town. Church, Tucson, AZ. This network is secure and isolated via Town owned CISCO 2851 integrated routers, and supports approximately 25 users accessing software in a client/server architecture. This VPN supports users at the Marana Operation Center as well as the Marana PD at the Town Hall complex. Tucson Police Department -provides secure access from the Tucson Police Dept to the Marana PD via secure VPN connection. The following list of specifications can be referred to when ordering dedicated (leased) T1 s. The first three specifications contain the information needed by the carrier. The remaining specifications must be met for satisfactory operation of Motorola systems. • FRAMING FORMAT: ESF (Extended Superframe) is highly recommended; otherwise "D4" (Superframe) is acceptable. • LINE CODING: 68ZS is highly recommended; otherwise AMI is acceptable, provided another "ones density" scheme is available. • SIGNALING: The T1 time slots must be set for "clear channel" operation (no signaling). • BIT ERROR RATE: The maximum (worst acceptable) T1 Bit Error Rate (BER) required for proper operation is 10E-6. • PROPAGATION DELAY: T1 propagation delay between any two sites must meet the requirements of the system application. Depending on the application one-way propagation delay requirements are either 5 ms (site links) or 10 ms (interzone links). The DSM-II can compensate for up to 47 milliseconds of delay. • AVAILABILITY: Carriers should guarantee that a leased T1 facility will be in service and usable 100% of the time, except during pre-arranged maintenance periods. • PATH OR EQUIPMENT REDUNDANCY: T1 automatic re-routing at the central or tandem office is acceptable, provided the maximum propagation delay is not exceeded after the re-route takes place. • COMPRESSION: Leased facilities cannot run through ADPCM or any other compression equipment at the central or tandem office. • T1 NETWORK CLOCKING: The carrier should provide a Stratum 1 or 2 master clock source. An external clock source (such as a BITS clock) can also be used provided all equipment has access to it • DEMARCATION: T1 PHYSICAL INTERFACE TO THE CARRIER: The carrier will terminate leased T1 facilities (typically) on a "Smart Jack" (a network interface unit that allows the carrier to test the T1 circuit from a central location). The smartjack is considered the demarcation, the point at which the carrier's responsibilities end. Some carriers may simply use an RJ-45 jack or punch-down blocks instead of a smartjack. Regardless of the jack type, the customer/carrier demarcation point is usually an RJ45 modular connector, a 66 ("punch-down") block or something similar. Any device that can handle the interface conversion is acceptable. The customer is expected to interface to the carrier's equipment with a CSU (Customer Service Unit). A CSU is the legal interface between the customer equipment and the carrier on a T1. Most brands of CSUs provide status indicators and diagnostic functions. T1 equipment such as channel banks, multiplexers or DACSs often has built in CSUs on their T1 interfaces. If they don't, external CSUs can be used. EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 8.3 Site Location Map (See Attachment "A") 8.4 Town of Marana WAN Diagram (See Attachment "B") 8.5 Uniform Terms and Conditions 1 Definition of Terms As used in this Solicitation and any resulting Contract/Agreement, the terms listed below are defined as follows: 1.1 "Attachment" means any item the Solicitation requires the Offeror to submit as part of the Offer. 1.2 "Contract"or "Agreement" means the combination of the Solicitation, including the Uniform and Special Instructions to Offerors, the Uniform and Special Terms and Conditions, and the Specifications and Statement or Scope of Work; the Offer and any Best and Final Offers and any Solicitation Amendments or Contract Amendments. 1.3 "Contract Amendment" means a written document signed by the Purchasing Director that is issued for the purpose of making changes in the Contract. 1.4 "Contractor" means any person who has a Contract or Agreement with the Town. 1.5 "Days" means calendar days unless otherwise specified. 1.6 "Exhibit" means any item labeled as an Exhibit in the Solicitation or placed in the Exhibits section of the Solicitation. 1.7 "Gratuity" means a payment, loan, subscription, advance, deposit of money, services, or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value is received. 1.8 "Materials" means all property, including equipment, supplies, printing, insurance and leases of property but does not include land, a permanent interest in land or real property or leasing space. 1.9 "Purchasing Director" means the person, or his or her designee, duly authorized by the Town to enter into and administer Contracts and make written determinations with respect to the Contract. 1.10 "Services" means the furnishing of labor, time or effort by a contractor or subcontractor which does not involve the delivery of a specific end product other than required reports and performance, but does not include employment agreements or collective bargaining agreements. 1.11 "Subcontract" means any Contract, express or implied, between the Contractor and another party or between a subcontractor and another party delegating or assigning, in whole or in part, the making or furnishing of any material or any service required for the performance of the Contract. 1.12 "Town" means the Town of 'Marana. Arizona law applies to this Contract including, where applicable, the Uniform Commercial Code (UCC) and the Marana Town Code. 2.2 Implied Contract Terms. Each provision of law and any terms required by law to be in this Contract are a part of this Contract as if fully stated in it. 2.3 Contract Order of Precedence. In the event of a conflict in the provisions of the Contract, as accepted by the Town and as they may be amended, the following shall prevail in the order set forth below: 2.3.1 Special Instructions to Offerors; 2.3.2 Uniform Terms and Conditions; 2.3.3 Statement or Scope of Work; 2.3.4 Specifications; 2.3.5 Attachments; 2.3.6 Exhibits; 2.3.7. Contract or Agreement for Professional/Consultant Services. 2.4 Relationship of Parties. The Contractor under this Contract is an independent Contractor. Neither party to this Contract shall be deemed to be the employee or agent of the other party to the Contract. 2.5 Severability. The provisions of this Contract are severable. Any term or condition deemed illegal or invalid shall not affect any other term or condition of the Contract. 2.6 No Parol Evidence. This Contract is intended by the parties as a final and complete expression of their agreement. No course of prior dealings between the parties and no usage of the trade shall supplement or explain any terms used in this document and no other understanding either oral or in writing shall be binding. 2.7 No Waiver. Either party's failure to insist on strict performance of any term or condition of the Contract shall not be deemed a waiver of that term or condition even if the party accepting or acquiescing in the nonconforming performance knows of the nature of the performance and fails to object to it. 3 Contract administration and operation. 3.1 Records. Under A.R.S. § 35-214 and § 35-215, the Contractor shall retain and shall contractually require each subcontractor to retain all data and other "records" relating to the acquisition and performance of the Contract for a period of five years after the completion of the Contract. All records shall be subject to inspection and audit by the Town at reasonable times. Upon request, the Contractor shall produce a legible copy of any or all such records. 3.2 Non-Discrimination. The Contractor shall comply with all applicable Federal, State and Town laws, rules and regulations, including the Americans with Disabilities Act. 3.3 Audit. Pursuant to ARS § 35-214, at any time during the term of this Contract and five (5) years thereafter, the Contractor's or any subcontractor's books and records shall be subject to audit by the Town and, where applicable, EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. the Federal Government, to the extent that the books and records relate to the performance of the Contract or Subcontract. 3.4 Facilities Inspection and Materials Testing. The Contractor agrees to permit access to its facilities, subcontractor facilities and the Contractor's processes or services, at reasonable times for inspection of the facilities or materials covered under this Contract. The Town shall also have the right to test, at its own cost, the materials to be supplied under this Contract. Neither inspection of the Contractor's facilities nor materials testing shall constitute final acceptance of the materials or services. If the Town determines noncompliance of the materials, the Contractor shall be responsible for the payment of all costs incurred by the Town for testing and inspection. 3.5 Notices. Notices to the Contractor required by this Contract shall be made by the Town to the person indicated on the Offer and Acceptance form submitted by the Contractor or the Professional Services Agreement unless otherwise stated in the Contract. Notices to the Town required by the Contract shall be made by the Contractor to the Solicitation Contact Person indicated on the Solicitation cover sheet, unless otherwise stated in the Contract. An authorized Purchasing Director and an authorized Contractor representative may change their respective person to whom notice shall be given by written notice to the other and an amendment to the Contract shall not be necessary. 3.6 Advertising, Publishing and Promotion of Contract. The Contractor shall not use, advertise or promote information for commercial benefit concerning this Contract without the prior written approval of the Purchasing Director. 3.7 Property of the Town. Any materials, including reports, computer programs and other deliverables, created under this Contract are the sole property of the Town. The Contractor is not entitled to a patent or copyright on those materials and may not transfer the patent or copyright to anyone else. The Contractor shall not use or release these materials without the prior written consent of the Town. 3.8 Ownership of Intellectual Property Any and all intellectual property, including but not limited to copyright, invention, trademark, trade name, service mark, and/or trade secrets created or conceived pursuant to or as a result of this contract and any related subcontract ("Intellectual Property"), shall be work made for hire and the Town shall be considered the creator of such Intellectual Property. The department, division, board or commission of the Town of Marana requesting the issuance of the contract shall own (for and on behalf of the Town) the entire right, title and interest to the Intellectual Property throughout the world. Contractor shall notify the Town, within thirty (30) days, of the creation of any Intellectual Property by it or its subcontractor(s). Contractor, on behalf of itself and any subcontractor (s), agrees to execute any and all document(s) necessary to assure ownership of the Intellectual Property vests in the Town and shall take no affirmative actions that might have the effect of vesting all or part of the Intellectual Property in any entity other than the Town. The Intellectual Property shall not be disclosed by contractor or its subcontractor(s) to any entity not the Town without the express written authorization of the Town. 4 Costs and Payments 4.1 Upon receipt and acceptance of goods or services, the Contractor shall submit a complete and accurate invoice for payment from the Town within thirty (30) days, unless a different payment schedule is agreed to. 4.2 Delivery. Unless stated otherwise in the Contract, all prices shall be F.O.B. Destination and shall include all freight delivery and unloading at the destination. The Contractor shall be responsible for paying all applicable taxes. 4.3.2 Town and Local Transaction Privilege Taxes. The Town of Marana is subject to all applicable State transaction privilege taxes. Transaction privilege taxes apply to the sale and are the responsibility of the seller to remit. Failure to collect such taxes from the buyer does not relieve the seller from its obligation to remit taxes. 4.3.3 Tax Indemnification. Contractor and all subcontractors shall pay all Federal, and local taxes applicable to its operation and any persons employed by the Contractor. Contractor shall, and require all subcontractors to hold the Town harmless from any responsibility for taxes, damages and interest, if applicable, contributions required under Federal, and/or Town and local laws and regulations and any other costs including transaction privilege taxes, unemployment compensation insurance, Social Security and Worker's Compensation. 4.3.4 IRS W9 Form. In order to receive payment the Contractor shall have a current IRS W9 Form on file with the Town of Marana, unless not required by law. 4.4 Availability of Funds for the Next Town fiscal year. Funds may not presently be available for performance under this Contract beyond the current Town fiscal year. No legal liability on the part of the Town for any payment may arise under this Contract until funds are made available for performance of this Contract. 4.5 Availability of Funds for the current Town fiscal year. Should the Town Council reduce the appropriations or for any reason and these goods or services are not funded, the Town may take any of the following actions: 4.5.1 Accept a decrease in price offered by the, contractor 4.5.2 Cancel the Contract 4.5.3 Cancel the contract and re-solicit the requirements. 5 Contract changes 5.1 Amendments. This Contract is issued under the authority of the Purchasing Director who signed this Contract. The Contract may be modified only through a Contract Amendment within the scope of the Contract. Changes to the Contract, including the addition of work or materials, the revision of payment terms, or the substitution of work or materials, directed by a person who is not specifically authorized by the Purchasing Director in writing or made unilaterally by the Contractor are violations of the Contract and of applicable law. Such changes, including unauthorized written Contract Amendments shall be void and without effect, and the Contractor shall not be entitled to any claim under this Contract based on those changes. 5.2 Subcontracts. The Contractor shall not enter into any Subcontract under this Contract for the performance of this contract without the advance written approval of the Purchasing Director. The Contractor shall clearly list any proposed subcontractors and the subcontractor's proposed responsibilities. The Subcontract shall incorporate by reference the terms and conditions of this Contract. 5.3 Assignment and Delegation. The Contractor shall not assign any right nor delegate any duty under this Contract without the prior written approval of the Purchasing Director. The Town shall not unreasonably withhold approval. 6 Risk and Liability 6.1 Risk of Loss. The Contractor shall bear all loss of conforming material covered under this Contract until received by authorized personnel at the location designated in the purchase order or Contract. Mere receipt does not constitute final acceptance. The risk of loss for nonconforming materials shall remain with the Contractor regardless of receipt. 6.2 Indemnification EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. Each party (as "indemnitor") agrees to indemnify, defend, and hold harmless the other party (as "indemnitee") from and against any and all claims, losses, liability, costs, or expenses (including reasonable attorney's fees) (hereinafter collectively referred to as "claims") arising out of bodily injury of any person (including death) or property damage but only to the extent that such claims which result in vicarious/derivative liability to the indemnitee, are caused by the act, omission, negligence, misconduct, or other fault of the indemnitor, its' officers, officials, agents, employees, or volunteers." 6.3 Indemnification -Patent and Copyright. The Contractor shall indemnify and hold harmless the Town against any liability, including costs and expenses, for infringement of any patent, trademark or copyright arising out of Contract performance or use by the Town of materials furnished or work performed under this Contract. The Town shall reasonably notify the Contractor of any claim for which it may be liable under this paragraph. 6.4 Force Maieure. 6.4.1 Except for payment of sums due, neither party shall be liable to the other nor deemed in default under this Contract if and to the extent that such party's performance of this Contract is prevented by reason of force majeure. The term "force majeure" means an occurrence that is beyond the control of the party affected and occurs without its fault or negligence. Without limiting the foregoing, force majeure includes acts of God; acts of the public enemy; war; riots; strikes; mobilization; labor disputes; civil disorders; fire; flood; lockouts; injunctions; intervention; acts; or failures or refusals to act by government authority; and other similar occurrences beyond the control of the party declaring force majeure which such party is unable to prevent by exercising reasonable diligence. 6.4.2 Force Majeure shall not include the following occurrences: 6.4.2.1 Late delivery of equipment or materials caused by congestion at a manufacturer's plant or elsewhere, or an oversold condition of the market; 6.4.2.2 Late performance by a subcontractor unless the delay arises out of a force majeure occurrence in accordance with this force majeure term and condition; or 6.4.2.3 Inability of either the Contractor or any subcontractor to acquire or maintain any required insurance, bonds, licenses or permits. 6.4.3 If either party is delayed at any time in the progress of the work by force majeure, the delayed party shall notify the other party in writing of such delay, as soon as is practicable and no later than the following working day, of the commencement thereof and shall specify the causes of such delay in such notice. Such notice shall be delivered or mailed certified return receipt and shall make a specific reference to this article, thereby invoking its provisions. The delayed party shall cause such delay to cease as soon as practicable and shall notify the other party in writing when it has done so. The time of completion shall be extended by Contract Amendment for a period of time equal to the time that results or effects of such delay prevent the delayed party from performing in accordance with this Contract. 6.4.4 Any delay or failure in performance by either party hereto shall not constitute default hereunder or give rise to any claim for damages or loss of anticipated profits if, and to the extent that such delay or failure is caused by force majeure. 6.5 Third Party Antitrust Violations. The Contractor assigns to the Town any claim for overcharges resulting from antitrust violations to the extent that those violations concern materials or services supplied by third parties to the Contractor, toward fulfillment of this Contract. 7 Warranties 7.1 Liens. The Contractor warrants that the materials supplied under this Contract are free of liens and shall remain free of liens. EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 7.2 Quality. Unless otherwise modified elsewhere in these terms and conditions, the Contractor warrants that, for one year after acceptance by the Town of the materials, they shall be: 7.2.1 Of a quality to pass without objection in the trade under the Contract description; 7.2.2 Fit for the intended purposes for which the materials are used; 7.2.3 Within the variations permitted by the Contract and are of even kind, quantity, and quality within each unit and among all units; 7.2.4 Adequately contained, packaged and marked as the Contract may require; and 7.2.5 Conform to the written promises or affirmations of fact made by the Contractor. 7.3 Fitness. The Contractor warrants that any material supplied to the Town shall fully conform to all requirements of the Contract and all representations of the Contractor, and shall befit for all purposes and uses required by the Contract. 7.4 Inspection/Testing. The warranties set forth in subparagraphs 7.1 through 7.3 of this paragraph are not affected by inspection or testing of or payment for the materials by the Town. 7.5 Reserved 7.6 Compliance with Applicable Laws. The materials and services supplied under this Contract shall comply with all applicable Federal, State and local laws, and the Contractor shall maintain all applicable licenses and permit requirements. 7.7 Survival of Rights and Obligations after Contract Expiration or Termination. 7.71 Contractor's Representations and Warranties. All representations and warranties made by the Contractor under this Contract shall survive the expiration or termination hereof. 7.7.2 Purchase Orders. The Contractor shall, in accordance with all terms and conditions of the Contract, fully perform and shall be obligated to comply with all purchase orders received by the Contractor prior to the expiration or termination hereof, unless otherwise directed in writing by the Purchasing Director, including, without limitation, all purchase orders received prior to but not fully performed and satisfied at the expiration or termination of this Contract. 8 Town's Contractual Remedies 8.1 Right to Assurance. If the Town in good faith has reason to believe that the Contractor does not intend to, or is unable to perform or continue performing under this Contract, the Purchasing Director may demand in writing that the Contractor give a written assurance of intent to perform. Failure by the Contractor to provide written assurance within the number of Days specified in the demand may, at the Town's option, be the basis of termination under the Uniform Terms and Conditions or other rights and remedies available by law or provided by the contract. 8.2 Stop Work Order. 8.2.1 The Town may, at any time, by written order to the Contractor, require the Contractor to stop all or any part, of the work called for by this Contract for period(s) of days indicated by the Town after the order is delivered to the Contractor. The order shall be specifically identified as a stop work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 8.2.2 If a stop work order issued under this clause is canceled or the period of the order or any extension expires, the Contractor shall resume work. The Purchasing Director shall make an equitable adjustment in the delivery schedule or Contract price, or both, and the Contract shall be amended in writing accordingly. 8.3 Non-exclusive Remedies. The rights and the remedies of the Town under this Contract are not exclusive. 8.4 Nonconforming Tender. Materials or services supplied under this Contract shall fully comply with the Contract. The delivery of materials or services or a portion of the materials or services that do not fully comply constitutes a breach of contract. On delivery of nonconforming materials or services, the Town may terminate the Contract for default under applicable termination clauses in the Contract, exercise any of its rights and remedies under the Uniform Commercial Code, or pursue any other right or remedy available to it. 8.5 Right of Offset. The Town shall be entitled to offset against any sums due the Contractor, any expenses or costs incurred by the Town, or damages assessed by the Town concerning the Contractor's non-conforming performance or failure to perform the Contract, including expenses, costs and damages described in the Uniform Terms and Conditions. 9 Contract Termination 9.1 RESERVED 9.2 Gratuities. The Town may, by written notice, terminate this Contract, in whole or in part, if the Town determines that employment or a Gratuity was offered or made by the Contractor or a representative of the Contractor to any officer or employee of the Town for the purpose of influencing the outcome of the procurement or securing the Contract, an amendment to the Contract, or favorable treatment concerning the Contract, including the making of any determination or decision about contract performance. The Town, in addition to any other rights or remedies, shall be entitled to recover exemplary damages in the amount of three times the value of the Gratuity offered by the Contractor. 9.3 Suspension or Debarment. The Town may, by written notice to the Contractor, immediately terminate this Contract if the Town determines that the Contractor has been debarred, suspended or otherwise lawfully prohibited from participating in any public procurement activity, including but not limited to, being disapproved as a subcontractor of any public procurement unit or other governmental body. Submittal of an offer or execution of a contract shall attest that the contractor is not currently suspended or debarred. If the contractor becomes suspended or debarred, the contractor shall immediately notify the Town. 9.4 Termination for Convenience. The Town reserves the right to terminate the Contract, whole or in part at any time, when in the best interests of the Town without penalty or recourse. Upon receipt of the written notice, the Contractor shall stop all work, as directed in the notice, notify all subcontractors of the effective date of the termination and minimize all further costs to the Town. In the event of termination under this paragraph, documents, data and reports prepared by the Contractor under the Contract shall become the property of and be delivered to the Town upon demand. The Contractor shall be entitled to receive just and equitable compensation for work in progress, work completed and materials accepted before the effective date of the termination. 9.5 Termination for Default. 9.5.1 In addition to the rights reserved in the contract, the Town may terminate the Contract in whole or in part due to the failure of the Contractor to comply with any term or condition of the Contract, to acquire and maintain all required insurance policies, bonds, licenses and permits, or to make satisfactory progress in performing the EXHIBIT Al TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. Contract. The Purchasing Director shall provide written notice of the termination and the reasons for it to the Contractor. 9.5.2 Upon termination under this paragraph, all goods, materials, documents, data and reports prepared by the Contractor under the Contract shall become the property of and be delivered to the Town on demand. 9.5.3 The Town may, upon termination of this Contract, procure, on terms and in the manner that it deems appropriate, materials or services to replace those under this Contract. The Contractor shall be liable to the Town for any excess costs incurred by the Town in procuring materials or services in substitution for those due from the Contractor. 9.6 Continuation of Performance through Termination. The Contractor shall continue to perform, in accordance with the requirements of the Contract, up to the date of termination, as directed in the termination notice. 10 Contract Claims. All contract claims or controversies under this Contract shall be resolved by the Purchasing Director with appeal to the Town Manager. 11 Arbitration. The parties to this Contract agree to resolve all disputes arising out of or relating to this contract through arbitration, after exhausting applicable administrative and political review. 12 Compliance with Employment Laws Contractor shall comply with all federal and state Equal Opportunity Laws, orders and regulations and shall not discriminate against any employee or applicant for employment on the basis of age, race, color, religion, sex, disability, national origin, marital status, veteran status or sexual orientation. Contractor warrants that it complies with all Federal Immigration laws and regulations that relate to its employees and complies with A.R.S. § 23-214.A. Technical Terms Summary RFP #2009-608 Dated: 3/8/2010 This summary provides the technical specifications for the implementation, management and support services of networking equipment by TWN for the Town of Marana for the purpose of providing network connectivity between facilities, Internet access, managed firewall security and secure network access to other designated agencies, pursuant to the Professional and Technical Services Agreement between the Town of Marana and TWN. The specifications included in this document supplement and supersede the specifications included in RFP #2009-608 dated August 24, 2009 and the Marana Wireless WAN Invitation for Best and Final Offer dated December 18, 2009 5.2.A Primary Links There are four primary sites and links that make up the backbone of the Marana network. The four sites will be designed in a ring topology that will provide automated failover in the event of an equipment or site failure. These links will support the Town network and the public safety Motorola P-25 trunked radio system, using a T1 sideband channel, with reliability of 99.999% Implementation -The Town will purchase and TWN will install and configure two new Motorola PTP-800 links with 2 foot antennas at the following tower locations: - Marana Town Hall to Northwest Fire Station #37 - Northwest Fire Station #37 to Marana Operation Center The Proteus link at Northwest Fire Station #37 -Marana Operation Center will be moved to Beacon Hill -Marana Town Hall. Both Proteus links will be reconfigured to provide redundant capability for both Town network traffic and the radio system. TWN will provide FCC licensing for new links and the Town will own the licenses after installation. Management and Support-The four links will be managed and supported by TWN as part of its Network Management Services described in Section 5.2.H below. Spares -TWN will provide temporary spares in the event of a link equipment failure until new equipment can either be returned and repaired or ordered and installed. 5.2.6 Primary Link Laver 3 Switches Implementation -Per TWN Proposal dated January 5, 2010, the Town will purchase four Cisco 3650-E switches and TWN will install and configure same at the four primary link sites. Additionally, the Town will purchase and TWN will install and configure IPMUX-24 Access Gateways as needed to support Motorola Radio and other T1 sidebanding requirements. During the initial one-year term of the agreement and the first two one-year extensions to the agreement regarding the traffic links, if any, TWN will own and provide management and support of the system. Traffic links that are maintained for three consecutive one-year terms pursuant to agreement between TWN and the Town will become the property of the Town at no additional cost to the Town. After successful connection tests are completed, Town and TWN staff will perform the switchover after business hours, completing fault isolation and correction before start of next business day. 5.2.H Network Management Services TWN will provide Network Management Services for the Town WAN, including routing, WLAN, VPN, SSL &VPN services. This will be accomplished by utilizing the latest routing technologies and multiple carrier connections. 5.1 Functional Requirements The architecture provided by TWN fulfills all of the requirements set forth by the Town of Marana network solution request, while providing additional advantages. The proposed network design includes a topology that includes multiple paths for dynamic routing and "self-healing", which is mandatory for the demands of any mission critical network. The core network backbone will consist of replacement licensed links that employ the latest technologies offered today at an extremely competitive cost of ownership. The replacement links include the path from Marana Town Hall to Station #37 and Marana Operations Center to Station #37. The proposed solution is to deploy new hardware using the latest Motorola Canopy PTP-800 licensed backhauls. The path to connect Town Hall to Marana Operation Center will use an alternate path, which includes an existing TWN tower location located at the Trico Electric Cooperative headquarters on Tangerine Road. The benefit of establishing the core network through this location is two-fold. The Trico Marana location is one of the main aggregation points throughout the TWN infrastructure; therefore, there is the ability to have multiple paths designed into the Town of Marana network, with multiple carrier connections, thus allowing for maximum fail-safe capabilities. Furthermore, the cost of ownership is greatly reduced for the Town of Marana given the fact that there is an economized investment on the required infrastructure to build. Station #37 will then have communication through a secondary link solution (see secondary link table). TWN has designed a redundant path from the Marana Operations Center to the Marana Town Hall through an already existing site atop Tucson Mountain. TWN has paths from multiple carriers established to the Tucson Mountain site, which makes this site an ideal location for the Town of Marana network to interconnect, thus creating a redundant path for the entire Town of Marana core network. These additional paths will then allow for a dynamic routing network architecture and automated divergence for failover capabilities. The primary Internet connection will be through an existing OC3 circuit located in Marana, the secondary Internet connection would then link from Tucson Mountain to an alternate circuit in Southern Arizona through a separate carrier. Each path will have a dedicated portion established for the Town Of Marana with the CIR and guaranteed bandwidth speeds agreed upon at all times. These path allocations have complete QOS capability for prioritized traffic requirements. The Town Of Marana has many additional advantages for successful network deployment and operations if TWN is selected as the Vendor. The primary advantage is the fact that The Town of Marana's operating footprint is in the TWN coverage area and visible by 5 existing TWN locations. The strategic placement of the TWN sites will allow the Town Of Marana to leverage the establishment of any secondary paths, any new paths, office buildings, or town facilities that may not be covered today. These sites have been deployed with the latest Motorola Canopy solutions; consequently, will integrate seamlessly with all points of the Town Of Marana infrastructure. The Engineering team at TWN has specified network equipment upgrades to accommodate the proposed network solution for the Town Of Marana. A portion of these upgrades include the deployment of new routing devices located at the Marana Town Hall, Marana Operations Center, TWN Tucson Mountain and the TWN Trico site. The routing hardware chosen for this architecture is the Cisco 2811 router platform. This platform allows for the standardization across all locations given the 2811's adaptability, modular configuration options and processing capabilities. The Information Security team at TWN has analyzed the network security requirements for The Town of Marana and has developed an optimal solution to provide the necessary level of protection, functionality, seamless integration, and manageability, while keeping the cost of ownership at an acceptable level. Since 1988, TWN has provided telecommunication services throughout the country, and currently provides services such as Internet access, long distance service and data solutions to over 100,000 customers. TWN is a privately held company that believes in personal attention and customer care. Our business was built on the desire to provide communication services in a reliable and affordable manner to consumers in areas that are typically underserved by technology. TWN is very successful in this niche and chooses to provide services in communities that larger telecommunication companies don't feel are financially viable for their business. After many years of growth and the natural expansion of our business, we are not only able to provide these services in rural markets, but also select urban areas that include the Greater Tucson area. If TWN is awarded this project, we will ensure that dedicated, qualified personnel with several high level resources will be assigned to the Town of Marana to ensure the success of our proposed solution. In addition to key TWN personnel that are already located in Marana, TWN will assign a local, dedicated support person to handle the needs of the Town. TWN has operations based locally in the Town of Marana and TWN partners with TRICO electric cooperative to provide telecom services to consumers in the greater Tucson area. TRICO is anon-profit, member owned utility and receives monthly revenues from TWN for use in supporting community projects and other community-based events throughout the area. TWN is a bonded telecommunications provider in the State of Arizona and maintains general liability coverage amounting to $1 OM. 4.2 Local Organization and Technical Staff TWN's field service operations are centered in Marana, AZ. In addition, administrative support for field services, construction services and local marketing support are also located in Marana. All of TWN's local administrative and managerial staff is co-located at TRICO Electric Cooperative's facilities (8600 W. Tangerine Road). TWN also co-locates one of its' key inventory depots and critical network replacement parts center in Marana to service the greater Tucson area. Jon Johnson -Senior Technical Specialist Jon has been with TWN for 5 years. Jon has extensive experience dealing with high-end business customers. He is our primary technical support specialist in the greater Tucson area. Jon's responsibilities include network support including router, switch, firewall, and server administration. Jon has specialized in supporting Motorola Canopy, Cisco, and SonicWall platforms. These personnel are responsible for all back office, systems support, network support service, network integrations services and escalation processes. Some of the people involved in these support functions will remotely assist with the Town of Marana project and include at a minimum: Larry Arellano Network Architect Larry has over 10 years of experience in telecommunications specializing in ISP management. Larry is responsible for the planning and management of TWN's network infrastructure, which includes Motorola Canopy solutions. Furthermore, Larry is experienced in capacity planning, network architecture and security. Larry also has extensive Cisco certified training in areas of advanced network routing, internal LAN switching, WAN routing including BGP and enterprise firewall management. Donna Harrington Director, Product Operations Donna has been in the telecommunications industry for over 10 years with extensive experience in voice and data product development. James Campbell Call Center Manager TWN owns and operates a fully staffed call center in Tampa, FL to handle all sales and support functions for our customers. In the event of an emergency, the TWN call center is available during business hours and handles all on-call requirements on a 24/7 basis. James has been with TWN for over 5 years and is responsible for call center quality of service and operations. Support will be provided to the Town of Marano 24 hours aer dav, 7 days per week. If TWN is awarded this project, we will assign afull-time senior technical support resource to manage and monitor this account. EXHIBIT B2 TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. 5.0 Responses to Scope of Work, Specifications, Requirements and Maintenance/Support The solutions provided for all of the existing and future WAN connections for the Town of Marana will be designed for maximum redundancy, scalability, and "self-healing" failover capabilities. This will be accomplished by utilizing the latest routing technologies and multiple carrier connections. 5.1 Functional Requirements The architecture provided by TWN fulfills all of the requirements set forth by the Town of Marana network solution request, while providing additional advantages. The proposed network design includes a topology that includes multiple paths for dynamic routing and "self-healing", which is mandatory for the demands of any mission critical network. The core network backbone will consist of replacement license links that employ the latest technologies offered today at an extremely competitive cost of ownership. The replacement links include the path from Marana Town Hall to Station #37 and Marana Operations Center to Station #37. The proposed solution is to deploy new hardware using the latest Motorola Canopy PTP-800 licensed backhauls. The path to connect Town Hall to Marana Operation Center will use an alternate path, which includes an existing TWN tower location located at the Trico Electric Cooperative headquarters on Tangerine Road. The benefit of establishing the core network through this location is two-fold. The Trico Marana location is one of the main aggregation points throughout the TWN infrastructure; therefore, there is the ability to have multiple paths designed into the Town of Marana network, with multiple carrier connections, thus allowing for maximum fail-safe capabilities. Furthermore, the cost of ownership is greatly reduced for the Town of Marana given the fact that there is an economized investment on the required infrastructure to build. Station #37 will then have communication through a secondary link solution (see secondary link table). This will allow a removal of equipment at the station and open up additional tower space for future revenue generating customers. 14 RFP #2009-608 WAN/NETWORKING SERVICES TOWN OF MARANA SUBMITTED BY: TRANSWORLD NETWORK, CORP. EXHIBIT 62 TO PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT BETWEEN THE TOWN OF MARANA AND TWN, CORP. TWN has designed a redundant path from the Marana Operations Center to the Marana Town Hall through an already existing site atop Tucson Mountain. TWN has paths from multiple carriers established to the Tucson Mountain site, which makes this site an ideal location for the Town of Marana network to interconnect, thus creating a redundant path for the entire Town of Marana core network. These additional paths will then allow for a dynamic routing network architecture and automated divergence for fail-over capabilities. The primary Internet connection will be through an existing OC3 circuit located in Marana, the secondary Internet connection would then link from Tucson Mountain to an alternate circuit in Southern Arizona through a separate carrier. Each path will have a dedicated portion established for the Town Of Marana with the CIR and guaranteed bandwidth speeds agreed upon at all times. These path allocations have complete QOS capability for prioritized traffic requirements. The Town Of Marana has many additional advantages for successful network deployment and operations if TWN is selected as the Vendor. The primary advantage is the fact that The Town of Marana's operating footprint is in the TWN coverage area and visible by 5 existing TWN locations. The strategic placement of the TWN sites will allow the Town Of Marana to leverage the establishment of any secondary paths, any new paths, office buildings, or town facilities that may not be covered today. These sites have been deployed with the latest Motorola Canopy solutions; consequently, will integrate seamlessly with all points of the Town Of Marana infrastructure. The Engineering team at TWN has specified network equipment upgrades to accommodate the proposed network solution for the Town Of Marana. A portion of these upgrades include the deployment of new routing devices located at the Marana Town Hall, Marana Operations Center, TWN Tucson Mountain and the TWN Trico site. The routing hardware chosen for this architecture is the Cisco 3560-E switch platform. This platform allows for the standardization across all locations given the 3560's adaptability. The Information Security team at TWN has analyzed the network security requirements for The Town of Marana and has developed an optimal solution to provide the necessary level of protection, functionality, seamless integration, and manageability, while keeping the cost of ownership at an acceptable level. TWN understands the security threats and vulnerabilities that are present for any private network that has access to the Internet today. The selected firewall platform for the Town of Marana is the SonicWall NSA series. TWN understands that the security solution selected will be policy based and therefore is only as effective as the rules configured. The daily administration and manageability of an efficient and effective security solution is the key to success. Primary Point to Point Links TransWorld Network Corp. has designed the primary links from the MMC to Northwest Fire #37 and the MOC to Northwest Fire #37 using the Motorola PTP-800 backhaul solution. The site hardware design includes a PTP-800 radio, 2' antenna, and all required cable, connectors and lightning suppression units. This hardware solution offers the greatest performance based on the Town Of Marana's requirements. Furthermore, the PTP-800 licensed solution has the capability to offer bandwidth allowances on a pay as you go basis, thus reducing initial cost and allowing for all future growth demands. TransWorld Network Corp. will install dedicated IPMUX-24 units at the MMC, Northwest Fire #37, and the MOC for the Motorola radio system; consequently, this configuration will allow for redundant fail-over communication paths dedicated to the existing radio system. The IPMUX-24 units meet all the requirements listed by the Town Of Marana. There will be a new link established between the MMC and Beacon Hill, Welter Site utilizing the existing Proteus Units that currently connect the MOC to Northwest Fire #37. This additional link will create the required loop necessary for dynamic routing within the Town Of Marana network. The redundant paths will also create multiple Internet interconnection points for the Town Of Marana's. The network architecture deployed by the Engineering. group at TransWorld Network Corp. in conjunction with the respective IT personnel will include full routing fail-over capabilities. Primary Site Layer 3 Switches TransWorld Network Corp. has selected the Cisco Catalyst 3650-E platform to comply with the capability requirements set for by the Town Of Marana. This switching platform offers full layer-3 capabilities in addition to a complete suite of security feature sets that are necessary to deploy, monitor and maintain a secure network infrastructure for the Town Of Marana. The routing for the Town Of Marana core network shall be standardized on the Cisco 3560-E platform. The Cisco 3560-E platform has the capability to provide the wire-speed performance, dynamic routing, QOS, VPN, and monitoring functionalities required for the new Town Of Marana core network. This Integrated Service Router offers the greatest investment protection given the modularity options available. The Cisco 3560-E allows a single routing platform that can meet and exceed all of the performance, security, and management requirements for the proposed network architecture. The Cisco 3560-E as all other current Cisco products offer an extensive support protection agreement that includes same day equipment replacement, 24x7x365 technical support and continued software updates. Internet TWN will provide the Internet connections to the MMC through a pair of Motorola PTP Ethernet backhauls. The primary Internet link will be connected directly to the MMC with bandwidth capabilities up to 150 Mbps full-duplex. In addition, a secondary Internet connection will be connected to the Beacon Hill location for redundancy. This will ensure the carrier class uptime TWN provides and allow for fail-safe routing, using BGP through multiple Internet connection points and multiple carriers. Each link will have an allowable data rate of 10 Mbps symmetric upon installation with the ability to increase bandwidth up to 150 Mbps full-duplex to meet future requirements. The increase in bandwidth will not require any additional hardware changes and may be requested with proper authorization as required. TWN currently owns and manages over 10,000 public IP addresses and will provide the Town Of Marana with a /26 IP block. Furthermore, TWN will reserve continuous IP address space for the Town Of Marana to allow for future IP requirements. These IP addresses will have full BGP capabilities at each TWN interconnection point through Qwest and Level3 Communications. TWN has Network Operation Centers throughout the US where services such as DNS, Web Hosting, Email, Video Conferencing, Video Streaming, Database Services, Custom Application Services, FTP Services, and Services are provided to customers. F. Network Management TWN has a comprehensive suite of management tools that are used to monitor and maintain the entire TWN network and individual customer networks. TWN monitors and analyzes real-time network performance metrics for all devices on the network.
