S. § 3 8- 431.02, notice is hereby given to the members of the Marana Town Council and to the general public that the Town Council will hold a meeting open to the public on June 2, 2015, at or after 7:00 PM located in the Council Chambers of the Marana Municipal Complex, 11555 W. Civic Center Drive, Marana, Arizona. ACTION MAY BE TAKEN BY THE COUNCIL ON ANY ITEM LISTED ON THIS AGENDA. Revisions to the agenda can occur up to 24 hours prior to the meeting. Regular Council meetings are usually held the first and third Tuesday of each month at 7:00 PM at the Marana Municipal Complex, although the date or time may change and additional meetings may be called at other times and /or places. Contact the Town Clerk or watch for posted agendas for other meetings. This agenda may be revised up to 24 hours prior to the meeting. In such a case a new agenda will be posted in place of this agenda. Speaking at Meetings If you are interested in speaking to the Council during the Call to the Public or Public Hearings, you must fill out a speaker card (located in the lobby outside the Council Chambers) and deliver it to the Town Clerk prior to the convening of the meeting. REGULAR COUNCIL MEETING CALL TO ORDER AND ROLL CALL PLEDGE OF ALLEGIANCE /INVOCATION /MOMENT OF SILENCE APPROVAL OF AGENDA CALL TO THE PUBLIC At this time any member of the public is allowed to address the Town Council on any issue within the jurisdiction of the Town Council, except for items scheduled for a Public Hearing at this meeting. The speaker may have up to three minutes to speak. Any persons wishing to address the Council must complete a speaker card located outside the Council Chambers and deliver it to the Town Clerk prior to the commencement of the meeting. ARIZ ONA 8 5 65 3 To: Mayor and Council From: Steven Cheslak, Planner II Date: June 2, 2015 Strategic Plan Focus Area: Not Applicable Item C 1 Subject: Resolution No. 2015 -054 Relating to Development; approving a final plat for Los Saguaros at Dove Mountain, Lots 134 -239 and Common Areas "A" (Private Streets), "B" (Open Space), "C" (Open Space /Drainage) and "D" (Open Space /Public Sewer) located south of Dove Mountain Boulevard and east of Saguaro Forest Drive (Steven Cheslak) Discussion: Histor The amended Dove Mountain Specific Plan was approved by the Town Council on July 16, 2002 by Ordinance 2002.13. A Final Plat for the Saguaro Forest subdivision was approved by the Town Council on November 6, 2007 by Resolution 2007 -186. The subdivision was then resubdivided creating the Los Saguaros Final Plat, Lots 1 -133, which was approved by the Town Council on June 5, 2012 by Resolution 2012 -34. Request Baker and Associates is requesting approval for the resubdivision of Block 7 of the Los Saguaros Final Plat, Lots 1 -133, to create the Los Saguaros Final Plat, Lots 134 -239 on 44.4 acres. The final phase of the subdivision will consist of 106 lots and Common Areas "A" through "D" for the dedication of land for the private streets, drainage areas, sewer and open space. Location The site is located within the Dove Mountain Specific Plan area. The proposed subdivision is generally located five miles north of Tangerine Road on the south side of Dove Mountain Boulevard and east of Saguaro Forest Drive. Zonin The site zoning is "F" - Dove Mountain Specific Plan with the land use designation of "LDR" Marana Regular Council Meeting 06/02/2015 Page 5 of 65 Low Density Residential. The LDR designation required minimum lot size is 6,000 square feet. The minimum lot provided by this plat is 10,404 square feet and the maximum lot size is 22,229 square feet with an average lot size of 11,771 square feet. Transportation Access to the site will be off of Dove Mountain Boulevard on to private streets dedicated by the plat. Staff Recommendation: Staff finds that the final plat is in compliance with the Dove Mountain Specific Plan, the Marana Land Development Code and the Marana General Plan. Staff recommends approval of this final plat. Suggested Motion: I move to adopt Resolution No. 2015 -054, approving a final plat for Los Saguaros at Dove Mountain, Lots 134 -239 and Common Areas "A ", "B", "C" and "D ". The Revised Tortolita Vistas Development Agreement was approved by the Town Council by the adoption of Resolution 2004 -174 on January 4, 2005. On March 20, 2007, the Town Council adopted Resolution 2007 -39 approving a final subdivision plat for Tortolita Vistas Lots 1 -22, 36-39 92 -15 0, Block "A ", Block "B", and Common Areas "A" and "B ". Request Engineering and Environmental Consultants, Inc. (EEC), representing Tortolita Investments, LLC, is requesting approval of a final plat for a subdivision of Block "B" of Tortolita Vistas Lots 1 -22, 36 -39, 92 -150, Block "A ", Block "B ", and Common Areas "A" and "B ". COUNCIL ACTION A 1 PUBLIC HEARING: Resolution No. 2015 -051: Relating to Budget; adopting the fiscal year 2015 -2016 tentative budget (Erik Montague). Mayor Honea opened the public hearing. Mr. Montague stated that his presentation would summarize key points previously discussed as well as some additional items of note. He began by reviewing the general fund reserves, which will provide for a $5M contingency and retain an estimated $20.4M ending reserve which excludes the $5M contingency. He touched briefly on the positions that would be added for an increase of 10.4 FTE, or a total of 338.73 FTE. He noted that the partial numbers indicated part - time positions. Next he discussed the compensation piece. There will be a market adjust of 2% applied to all employees' base pay except for temporary seasonal staff and employees whose salary falls above the maximum of their pay grade. There is also a 1.5% pay adjustment available and applied to base pay for employees who full meet or exceed expectations. A one- time performance -based adjustment will also be available to employees who exceeded expectations up to $1500. He concluded with a comparison of the 2015 adopted and 2016 tentative budget numbers, noting an increase for 2016 of nearly 24% and a review of the revenue sources and expenditures and uses. The overall expenditure limitation for FY 2015 is set at $145M. Upon approval of the tentative budget, expenditure authority may only be reallocated or reduced until the final budget is adopted on June 16. There were no speakers from the public. Mayor Honea closed the public hearing. Council Member Bowen asked if the contingency budget differed from last year's. Mr. Montague said it was the same — about 14 -15% of budget. A 2 Ordinance No. 2015.012: Relating to Finance; amending the Town of Marana Comprehensive Fee Schedule; and designating an effective date (Erik Montague) May 19, 2015 Meeting Minutes 3 Marana Regular Council Meeting 06/02/2015 Page 33 of 65 Resolution No. 2015 -052: Relating to Finance; declaring as a public record filed with the Town Clerk the amendments to the Town of Marana Comprehensive Fee Schedule adopted by Ordinance No. 2015.012 (Erik Montague) Mr. Montague presented the recommended changes as were presented at the March 10, 2015 study session. At that meeting 31 changes were noted, which is reflected 21 modifications to existing fees; 16 of those were clarifications. There were four increases and one decrease. There are three new fees which were recommended, and seven fees were eliminated. Following the feedback from Council, staff provided the required 60 -day public notice. Also, staff reached out the Southern Arizona Homebuilders Association and the Metropolitan Pima Alliance through letters inviting input. There were no major issues of concern or contention. Upon Council approval, the effective date of these fees will be July 6, 2015. Motion to approve Ordinance No. 2015.12 and Resolution No. 2015 -052 with an effective date of July 6, 2015 by Council Member Kai, second by Vice Mayor Post. Passed unanimously 6 -0. A 3 PUBLIC HEARING: Ordinance No. 2015.013: Relating to Development; approving an amendment to the Sanders Grove Specific Plan to decrease the area of the Medium -Low Density Residential land use category from 343.8 acres to 233.5 acres, increase Medium - Density Residential from 451.7 acres to 536.6 acres, increase Medium -High Density Residential from 31.1 acres to 47.8 acres, increase Commercial from 18.5 acres to 23.1 acres, increase the Open Space Overlay Zone from 84.8 acres to 90 acres, and to make other revisions (Brian Varney). Council Member Kai and Vice Mayor Post declared conflicts of interest and left the dais. Mayor Honea opened the public hearing. Mr. Mahoney presented the amendments beginning with the location of the property between Marana Road and Interstate 10 to the north and Sanders Road and Wentz Road to the west on approximately 841 acres. The zoning is per the specific plan adopted in 2005. There are five different land uses allowed within the development. The maximum is 2,500 residential units which is approximately 3 units per acre. The proposal will allow the market to drive the development. It was entitled 10 years ago and survived the recession. The owner is bringing it back with some flexibility for movement in the near term. Some safety measures are in place to protect development along Wentz Road. Staff also will require some diversity of housing types and lot sizes and amenities and has expanded the language on parks and open space as well as the design standards the town has adopted sine the plan was adopted in 2005. He then showed Council aside -by -side comparison of the existing plan to what is being proposed. One of the major changes is the road network and the decreased medium -low density (MLDR) to the west. Most of the decrease has shifted to the center of the project which is the medium density residential. Next he highlighted revisions to the development standards which May 19, 2015 Meeting Minutes 4 Marana Regular Council Meeting 06/02/2015 Page 34 of 65 include removing restrictions on the percentages of lots that may be developed at or near the minimum allowed under medium -low and medium density (MDR) residential. The developer is asking to lift those percentages for more flexibility within each of the zoned districts according to what the market might demand. Currently the existing MLDR is 6,000 sq. foot minimum, a maximum of 20% of lots can be less than 7,000 sq. feet, and lots abutting Went Road require a minimum of 12,000 sq. feet and limited to one story. Proposed changes would be no percentage restriction on lots at or near the minimum, and lots abutting Wentz Road north of Kirby Hughes will require a minimum of 12,000 sq. feet and limited to one story. Lots south of Kirby Hughes require a minimum of 7,000 sq. feet and limited to one story. Within the MDR in the center of the development, the minimum lot size of 4,500 sq. feet, and a restriction that can be developed below 6,000 sq. feet. The developer is asking to lift that 35% restriction. For the MHDR, there were no changes. In the commercial zone district they are allowed to develop by conditional use with the MHDR standards, and they would like to have the flexibility to develop in that area as a permitted use using those MHDR standards. So if the market does not allow for commercial development in there, they could do some of the residential development, still with the 2,500 unit cap. Next, Mr. Mahoney discussed the phasing schedule, noting that each phase has a minimum and maximum number of lots to be developed so that development is distributed throughout the entirety of the parcel. With respect to additional revisions and key points, language was added regarding flexibility to the pocket parks. The developer still has to deliver a 20 -acre park that would ultimately be owned by the town and 14 pocket parks. The developer has asked for flexibility to combine those parks where it would make sense. The language that they have in their specific plan would increase the level of service. So it would provide ball fields or things like that if they combine them, and that would be at the town's discretion to allow them. Secondly, the parcels, should there be any remnant pieces left over after platting the parcels, and realize there are some areas that don't make sense to develop or don't have a market to develop, we didn't want to leave those. So they would have to be landscaped, developed as parks, and maintained by the HOA in perpetuity. Next, each planning area has to have a variety of lot sizes, so you can't just put the 4,500 sq. foots, the 6,000 sq. foots; you have to have some differing lots sizes throughout. We do have a development agreement with the owner, and because we've made changes, ten years has passed, we've updated the major routes plan within the general plan and changed policy over time, so we'll need to update that at some point. Finally, some of the development standards have been changed, and those relate to the residential design guidelines. We're going to bring those current to what we have today. We feel that ours do a better job of ensuring some of the quality development that we ask for. Next he introduced the open space concept plan that he mentioned earlier which illustrates that there are parks contemplated throughout so that each neighborhood — each part of the May 19, 2015 Meeting Minutes 5 Marana Regular Council Meeting 06/02/2015 Page 35 of 65 development — will have access to a pocket park. The larger regional park in the north part of the development has a spine trail running to it from Marana Road. The Planning Commission voted in favor of this plan in April 4 -0 with one condition that detached single family homes along Marana Road be single story. One important thing to mention is that when the Planning Commission did hear this (he then illustrated with a side by side comparison of what the Planning Commission recommended and the current proposal) that MDR was proposed. Since that point in time in discussions with the developer, that was switched back to what is there currently, which is MLR, reducing the density or at least keeping it the same as what is currently entitled. So staff does recommend approval of the plan and wanted to clarify a couple of things. There are a couple of typographical errors, so when the plan is turned in, those can be amended. Also, that Condition #14 that allowed the combination of those lots, we had language in there that said two of the lots could be combined to form a larger park, they (developer) would like the flexibility to combine more than two if it makes sense. Staff would have to approve that and make sure that there is still access within one - quarter mile to a trail or a park within walking distance. They (developer) has asked that the single story restriction along Marana Road get lifted. Council Member Comerford asked for clarification. Mr. Mahoney responded that he thought when the Planning Commission heard that, they didn't have all of the information of what the developments looked like in the area. So, directly across the street, Marana Towne Center has an entitlement that would allow for both commercial and residential development down to 6,000 sq. foot lots, and they do not have a single story restriction on that. But more importantly, there's a 250 foot right of way and then a 95 foot landscape buffer along Marana Road. So once, you get into the development that far, you've mitigated concerns for having two story. Those are all the details I wanted to share with you. David Morales spoke as a member of the public. He stated that this is a case of supply and demand. He's in favor of the development; however, the only houses up against this are on Wentz Road, and closer to Kirby Hughes there'ftff ranchettes. He would like Council to take that into consideration on the buffer and leave it at one story homes. His other concern was that a west wind will bring a cow odor that residents might complain about, especially those who are not familiar with farming and cow odors. There were no other speakers. Mayor Honea closed the public hearing. No questions from the Council. Motion to adopt Ordinance No. 2015.013 as presented by staff by Council Member Bowen, second by Council Member McGorray. Council Member Comerford commented that she personally thanked Linda Morales and Gilbert Davidson for coming back to work on this project which had been catastrophic — what had been done to this. Because we come through a depression or recession or whatever you want to call it doesn't mean that we have to give away the farm. A wise mayor from another city said just because somebody offers something doesn't mean that it's right for you. Yes, we are definitely development - friendly, but not when somebody mows down something we've worked hard on. And staff needs to understand that, too. We've got new people, and things that we have worked very hard on are there for a reason because we've considered current residents, because we've considered the vision of the Marana. She wanted to do a five -year sunset clause, but she didn't want to give anyone a heart attack. If there is somebody who wants to come in and build this project, then let's bring a great project to Marana. And if you're interested in selling a property, then let us help you sell the property. But don't say one and mean another. We look forward to developing this property, and hopefully it will be the vision that we had always intended for Marana. A 4 Resolution No. 2015 -053 Relating to Public Works; approving and authorizing the Mayor to execute an intergovernmental agreement between and among Pima County, the City of Tucson, and the Town of Marana for the design and construction of the Silverbell Roadway Overlay Project (Ryan Benavides). Presented by Keith Brann for Mr. Benavides. This is a joint regional project for an overlay of Silverbell Road. This will consist of about a two -inch overlay on Silverbell from Grant Road to Ina Road. The town's portion of this is approximately $260K. The project is basically a transition to help Silverbell out until the project if fully reconstructed as part of the RTA. The first part of the project will be from Grant to Goret which is being done by the City of Tucson beginning later this year and into 2016. After that, the main project of Silverbell will take a backseat to the later project of the RTA. There are other projects going on in the region. Pima County is going to be moving forward with a Sunset Road connection from Silverbell to the I -10 interchange, restoring the connection that was washed out in the 1983 flood. The town's project, the Ina Road TI and bridge over the Santa Cruz which was the subject of last week's study session by ADOT. That will begin in 2016 as will the County's project. As soon as the ramps are open again on the Ina interchange, ADOT will be closing the Ruthrauff interchange. So during all of this construction, Silverbell will be carrying a lot of traffic as a diversion route over the next few years. That's why everyone is moving forward to do this overlay. The town had in its capital improvement pavement preservation program and overlay of Silverbell a couple of years out, but because of this joint project, we have advanced out project forward to accommodate the other jursidictions. The budget capacity does contemplate potential significant issuance of debt that would provide capacity for some developer projects that they may be bringing forward in the near future. However, if the tentative budget is approved this evening, it does not approve or authorize the issuance of debt. We would be obligated to bring that back before the Board for approval at the appropriate time. Should this tentative budget be approved, then we will provide the notice of the public hearing which would be held June 16, 2015, at which time the Board would consider the final budget. But it does contemplate the $.30 for every $100 of assessed valuation for maintenance. Should the tentative budget be approved this evening, staff will provide the notice of the public hearing which would be held June 16, 2015, at which time the Board would consider the final budget. Chairman Honea asked if the town would be reimbursed for cleanup. Mr. Montague responded that there was a reseeding bond that was held for mitigation. Mr. Cassidy stated that staff did look to use a reseeding bond for that but ended up not doing that after reviewing the record. We did end up incurring some expenses for clearing weeds but have not been able to find a source for reimbursement and was not sure we would be able to charge that against the CFD but it is something we will be looking into. Included is an overall budget which provides for the capacity to issue debt for the purposes of acquiring public infrastructure within the district. At this time, no specific infrastructure is anticipated or any debt issuance, merely the capacity. Should a debt issuance be anticipated, district staff would be obligated to come back to the Board to seek authorization, along with other required elements. The budget before you does contemplate the maintenance of the existing rate structure which is $30 per $100 of assessed valuation as well as the $2.50 per $100 of assessed valuation for the debt element. Tied to this specific community facilities district is a standby contribution agreement to protect the citizens within the community, and that allows us to maintain the overall target rate at the $2.80 that it is currently. C 2 Resolution No. 2015 -045 Relating to Real Estate; authorizing the Town Manager to execute an "Agreement for Purchase and Sale of Real Property and Escrow Instructions" with Reyher Partnership and Marana 348, L.P.; and approving the transfer of up to $1,625,000 in budgeted expenditure authority from the General Fund Contingency line item to the Land Acquisition line item for fiscal year 2014 -2015 for acquisition and expenses related to the Reyher Partnership and Marana 348, L.P. land acquisition. Frank Cassidy stated that this item was erroneously placed on the Consent agenda when it was intended to be an action item. This is the final formal Council action for the purchase of about 43.2 acres of vacant land in the vicinity of the town hall complex. The price is about $1.6M. This resolution will also transfer an additional $25K for contingency items that will give us an opportunity to inspect the property prior to close. That is the ALTA survey, the appraisal that is being done and also a Phase I environmental study. Under this resolution, it will transfer the funding out of contingency funds for the purchase and the cost items, and it will authorize the Town Manager to sign the agreement in substantially the form it's presented to you. All the blanks will be filled in for the seller's information, but the substantive items will be the same. There has been a little negotiation back and forth, and there appears to be one last - minute change where the seller wanted us to finish reviewing our contingencies by June 17, and we are planning to do that. The closing will happen no later than June 22, although it could happen before that if all of the reports are completed ahead of time. The purchase price is $.85 sq. foot which is less than any of the deals in this area as were outlined in the background materials. It looks like a good price to staff and will be backed up by an appraisal by the time we get to closing. Motion to adopt by Council Member Bowen, second by Council Member Kai. The purpose of this grant is to aid in the financing of the project of Master Plan Update, GIS, Business Plan and Rates and Charges Study. The primary purpose of an airport master plan is to develop a comprehensive site plan for potential future airport facilities and, once adopted, to preserve individual parcels for the planned uses. A few goals of the master plan are: • To provide a graphic representation of existing airport features, future airport development and anticipated land use. • To establish a realistic schedule for implementation of the proposed development. • To identify a realistic financial plan to support the development. • To validate the plan technically and procedurally through investigation of concepts and alternatives on technical, economic and environmental grounds. • To prepare and present a plan to the public that adequately addresses all relevant issues and satisfies local, state and federal regulations. • To establish a framework for a continuous planning process. The master plan update will be conducted by the airport planning firm Armstrong Consultants Marana Regular Council Meeting 06/02/2015 Page 43 of 65 headquartered in Grand Junction, Colorado in conjunction with airport and town staff, the FAA, ADOT, as well as airport and community stakeholders. This project is anticipated to begin in June and will be an approximate 1 1 /2 to 2 year project. The purpose of the Airport GIS survey is to help the FAA collect airport and aeronautical data to meet the demands of the Next Generation National Airspace System. The survey will be conducted by Woolpert headquartered in Dayton, Ohio. The last component of this project is to develop an airport business plan which will be the first time the airport has created such a document. This business plan will include a rates and charges study. The primary purpose of the plan is to strengthen the delivery of aviation services, improve financial performance, maximize the airport system's services to the community, and allow for continued airport development in a logical manner. The project will be conducted by the Genesis Consulting Group headquartered in Phoenix in conjunction with input from airport and community stakeholders. Marana placed this project on the State's Airport Capital Improvement Program (ACIP) and it was chosen by ADOT to be funded in this budget cycle. This grant is a 90/10 split on funding with ADOT reimbursing Marana up to a maximum of $414,000. Further explanation of this project and an update of current and future airport development plans will be provided to Council during the meeting. Tile Sponsor hereby covenants and agrees with the State as follows: General 1) That the Project is consistent with plans (existing at the time of approval of the Project) of political jurisdictions authorized by the State to plan for the development of the area surrounding the Airport and has given fail- consideration to the interest of communities in or near where the Project is to be located. In making a decision to undertake any airport development Project under this Agreement the Sponsor insures that it has undertaken reasonable consultation with affected parties using the Airport at which the Project is proposed. All appropriate development standards of Federal Aviation Administration (FAA) Advisory Circulars, orders, or Federal Regulations shall be complied with. All related state and federal laws shall be complied with. 2) That these covenants shall become effective upon execution of this Agreement for the Project or any portion thereof, made by the State and shall remain in full force and effect throughout the useful life of the facilities or the planning project's duration developed under the grant, but in any event, not less than twenty (20) years from the date of acceptance of the grant offer by the Sponsor. 3) The Sponsor certifies in this Agreement that it is a political subdivision of the State and is the public agency with control over a public use Airport and/or oil behalf of the possible future development of all Airport and is eligible to receive grant funds for the development or possible development of all Airport under its jurisdiction. 4) The Sponsor further agrees it holds good title, satisfactory to the State, to the landing area of the .Airport or site thereof, or will give assurance satisfactory to the State that good title will be acquired. 5) That the Sponsor is the owner or lessee of the property or properties oil which the Airport is located and that the lease guarantees that the Sponsor has full control of the use of the property for a period of not less than twenty (20) years from the date of this Agreement. All changes in airport ownership or to all airport lease shall be approved by the State. 6) The Sponsor agrees that it has sufficient funds available for that portion of the project costs which are not to be paid by the State (or the United States). 7) Tile Sponsor agrees to provide and maintain competent supervision to complete the Project in conformance with this Agreement. 8) Preserving Rights and Powers: Tile Sponsor agrees it shall not take or permit any action which would operate to deprive it of any of the rights and powers necessary to perform ally or all of the terms, conditions and assurances ill this Agreement without written permission froze the State, and shall act promptly to acquire, extinguish or modify ally outstanding rights or claims of right by others which would interfere with such performance by the Sponsor. This will be done ill a manner acceptable to the State. The Sponsor shall not sell, lease, encumber or otherwise transfer or dispose of any part of its title or other interests in the property shown oil the airport property neap included in the most recent FAA- approved Airport Layout Plan, or to that portion of the property upon which State funds have been expended, for the duration of the terms, conditions and assurances in this Agreement without approval by the State. if the transferee is found by the State to be eligible under Title 49, United States Code, to assume the obligations of this Agreement and to have the power, authority and financial resources to carry out such obligations, the Sponsor shall - - - -- -- - - - - _Page 5 of 17 Grant Number E5S3N Town of Marana Marana Regional Airport insert in the contract or do cument transferring or disposing of Sponsor int and make binding upon the transfer all the terns, conditions and assurances contained in this Agreement. 9) Public Hearings: In Projects involving the location of ail Airport, an airport runway or a major runway extension, the Sponsor has afforded the opportunity for public hearings for the purpose of considering the economic, social and en impacts of the Airport or runway location and its consistency with goals and objectives of such planning as has been carried out by the community a it shall, when requested by the State, submit a copy of such hearings to the State. Finnurial Pursuant to A.R.S. 35 -326 the Sponsor may elect to utilize the Local Government Investment Pool ("LGIII maintained by the state treasurer. Tile Sponsor slial 1 request written approval from the State to use the LGI P. Thereafter, the State may deposit the funds authorized by the grant into the Sponsor's account. After approval of the reimbursements by the state, the funds shall be disbursed through the LGIP account to the Sponsor. The disbursements shall be made pursuant to the applicable laws and regulations. The Sponsor shall establish and maintain for each Project governed by this Agreement, art adequate accounting record to allow State personnel to determine all funds received (including funds of the Sponsor and funds received from the United States or other sources) and to determine the eligibility of all incurred costs of the Project. The Sponsor shall segregate and group project costs into cost classifications as listed in the Specific Provisions of Exhibit C. Record Keeiin Tile Sponsor shall maintain accurate records of all labor, equipment and materials used in this Project and that upon reasonable notice, shall make available to the State, or any of their authorized representatives, for the purpose of audit and examination all records, books, papers or documents of the recipient relating to work performed under this Agreement. For airport development Projects, make the Airport and all airport records and documents affecting the Airport, including deeds, leases, operation and use agreements, regulations and other instruments, available for inspection by any duly authorized agent of the State upon reasonable request. Airport Based Aircraft Re orthi The Sponsor shall furnish to the State oil a quarterly basis, a current detailed listing (including-. Registration/N Number, Name, Address and Phone Number of owner) of all based aircraft oil the Airport in a form approved by the State. Airnoi•t Layout Ptaxi 1) The Sponsor shall maintain a current signed /approved Airport Layout Plan (ALP) of the Airport, which shows building areas and landing areas, indicating present and planned development and to furnish the State ail updated ALP of the Airport as changes are made. 2) The Sponsor shall be required to prepare ail ALP for update or revalidation in accordance with current FAA and State standard guidelines. J"he ALP will indicate ally deviations from FAA design standards as outlined in current FAA Advisory Circulars, orders or regulations. A copy of the signed /approved ALP in electronic format shal be forwarded to the State after authentication by FAA or the State. 3) The Sponsor shall assure that there are no changes to the airport property boundaries, together with ally off-site areas owned or controlled by the Sponsor which support the Airport or its operations as a part of this project. In addition, if the Project is for noise compatibility or to protect the 14 CFR Part 77 imaginary surfaces of the Airport, the Sponsor will not cause or permit any change in land use, within its jurisdiction, that will reduce its compatibility, with respect to the Airport, of the Boise compatibility program measures or the imaginary surfaces of the Airport upon which State funds have been expended. Airport of oration 1 } The Sponsor shall promote safe airport operations by clearing ajid protecting the approaches to the Ail by removing, lowering, relocating, marking and /or lighting existing airport: hazards and to prevejit, to the extent possible, establishmejit or creation of future airport hazards. The Sponsor shall take appropriate action to assure such terminal airspace as is required to protect instrument and visual operations to the Airport (including established nninilnum flight altitudes) will be adequately cleared and protected by preveiitiiig the establishment or creation of future ail-poll' hazards. Tile Sponsor shall promptly notify airineti of any colidition affecting aeronautical use of the Airport. 2} The Sponsor further agrees to operate the Airport for the use and benefit of the public acid to keep the Airport open to all types, kinds and classes of aeronautical use without discrimitiatiozi betweezi such types, kixids and classes; provided that the Sponsor shall establish such fair, equal and nondiscriminatory conditions to be met by all users of the Airport as may be necessary for the safe and efficient operation of the Airport; and provided further, that the Sponsor allay prohibit any given type, kind or class of aeronautical use of the Airport if such use would create unsafe conditions, interfere with normal operation of aircraft, or cause damage or lead to the deterioration of the runway or other airport facilities. 3} In any agreement, contract, lease or other arraiigemeiit under which a right or privilege at the Airport is granted to airy person, firm or corporation to conduct or engage in any aeronautical activity for furn i sh ijig services to the public at the Airport, the Sponsor shall insert and enforce provisions requiring said person, firm or corporation: a} to furnish services oii a reasonable axed not unjustly discriminatory to all users thereof alid charge reasonable and not unjustly discriminatory prices for each unit or service; b} acid be allowed to make reasoxiable acid nondiscriminatory discounts, rebates or similar types of price reductions to volume purchasers; c} each Fixed Based operator (FBO) acid Ail- Carrier at the Airport shall be subject to the same rates, fees, rentals and other charges as are uniformly applicable to all other FBOs and Ail Carriers making the same or similar uses of the Airport and utilizing the same or similar facilities; d} each Air Carrier usixlg such Airport shall have the right to service itself or to use airy 1 that is authorized or permitted by the Airport to serve any Ail Carrier at the Airport. 4} "File Sponsor shall riot exercise or grant any right or privilege which operates to prevent ally persoli, firill or corporation operating aircraft on the Airport from perfornning ally services oil its owii aircraft with its own employees (including but ]lot limited to mainteiianee, repair acid fueling} that it may choose to perform. In the event the Spoiasor Marana Re ular Council Meeting 06/02/2015 Page 53 of We 7 o f 7 Grant Number E5S3N Town of Marana Marana Regional Airport itself exercises any of the rights and privileges referred to in this assurance, the services involved will be provided oil the same conditions as would apply to the furnishing of such services by a commercial aeronautical operator authorized by the Sponsor under these provisions. 5) The Sponsor shall suitably operate and maintain the Airport and all facilities thereon or connected therewith which are necessary for airport purposes and to prohibit any activity thereon which would interfere with its use for aeronautical purposes and to operate essential facilities, including night lighting systems, when installed, in such manner as to assure their availability to all users of the Airport; provided that nothing contained herein shall be construed to require that the Airport be operated and maintained for aeronautical uses during temporary periods when snow, flood or other climatic conditions interfere substantially with such operation and maintenance. d) The Sponsor shall not permit ail exclusive rigLt for the use of the Airport by any person providing, or intending to prov i de, aeronautical services to the public. For purposes of this paragraph, providing services at ail Airport by a single FBO shall not be construed as ail "exclusive right" if: a) it would be unreasonably costly, burdensome or impractical for more than one FBO; and b) if allowing more than one FBO to provide such services would require a reduction of space leased pursuant to all existing agreement between a single FBO and the Airport. Note: Aeronautical activities that are covered by this paragraph include, but are not limited to: charter flights, pilot training, aircraft rental, sightseeing, air carrier operations, aircraft sales and services, aerial photography, agricultural spraying, aerial advertising and surveying, sale of aviation petroleum products whether or not conducted ill conjunction with any other aeronautical activity, repair and maintenance of aircraft, sale of aircraft parts, and any other activities which because of their direct relationship to the operation of aircraft can be regarded as ail aeronautical activity. 7) The Sponsor shall terminate any exclusive right to conduct ail aeronautical activity now existing at the Airport before any grant of assistance from the State. However, there shall be no limit oil the duration of the assurances regarding Exclusive Rights and Airport Revenue so long as the Airport: is used as ail Airport:. There shall be no limit oil the duration of the terms, conditions, and assurances with respect to real property acquired with State funds. S} Airport Pavement Preservation Program: The Sponsor certifies that they have implemented all effective pavement preservation management program at the Airport in accordance with Public Law 103 -305 and with the rllost current associated FAA policies and guidance for the replacement, reconstruction or maintenance of pavement at the Airport. The Sponsor assures that it shall use and follow this program for the useful life of the pavement constructed, reconstructed or repaired with financial assistance from the State and that it will provide such reports oil pavement condition and pavement management programs as may be required by the State. Sponsor Transactions The Sponsor shall refrain from entering into any transaction which would deprive the Sponsor of any of the rights and powers necessary to perform any or all of the covenants made herein, unless by such transaction the obligation to perform all such covenants is assumed by another public agency eligible to assume such obligations and having the power, authority and financial resources to carry out such obligations; and, if ail arrangement is made for management or operation of the Airport by ail agency or person other than the Sponsor, the Sponsor shall reserve sufficient powers and authority to insure that the Airport will be operated and maintained in accordance with these covenants or insure that such an arrangement also requires compliance therewith. All revenues generated by the Airport: (and ally local taxes established after Dec 30, 1987), will be expended by it for the capital or operating costs of the Airport; the local airport system; or the local facilities which are owned or operated by the owner or operator of the Airport and which are directly or substantially related to the actual air transportation of passengers or property, oil or off the Airport. Disposal of Land 1 } For land purchased under a grant for airport development purposes (it is needed for aeronautical purposes, including runway protection zones, or serve as noise buffer land; and revenue from the interim use of the land contributed to the financial self-sufficiency of the Airport ), the Sponsor shall apply to the State and FAA for permission to dispose of such land. If agreed to by the State arld /or FAA, the Sponsor shall dispose of such land at fail market value and make available to the State and FAA all amount that is proportionate to the State and FAA's share of the cost of the land acquisition. That portion of the proceeds of such disposition, which is proportionate to the share of the cost of acquisition of such land, shall be (a) reinvested in another eligible airport development Project or Projects approved by the State and FAA or (b) be deposited to the Aviation Trust Fund if no eligible Project exists. 2} Disposition of such land shall be subject to the retention or reservation of any interest or right therein necessary to ensure that such land will only be used for purposes which are compatible with noise levels associated with operation of the Airport. ar Council Meeting 06/02/2015 I' ge9of17 P age 55_ _O__ Grant Number E5S3N Town of Marana Marana Regional Airport EXHIBIT B General Provisions EmWovment of Consultants The term consultant, as used herein, includes planners, architects and /or engineers. If a consultant is to be used for this Project, the Sponsor agrees to consider at least three (3) consultant firms. If the Sponsor has contracted with or will contract with a consultant oil a retainer basis, the Sponsor assures to the State that prior to entering such a contract, at least three (3) consultants were or will be considered. Tile Sponsor shall submit to the State, for review and approval, a copy of the request for proposals and /or request for qualifications, and the proposed consultant contract prior to its execution and upon award of the contract, a fully executed copy. All requests for qualifications and requests for proposals shall be ill accordance with A.R.S. 34, Chapters 1, 2 and f, and shall include a list of projects and project locations to be awarded project contracts. Contracts 1) Tile Sponsor as all independent entity and not as all agent of the State may obtain the services required in order to fulfill the work outlined in the Project Description as approved by the State for funding in the Airport Capital I niprovernent Program. All contracts awarded to accomplish the project work described ill this Agreement shall state: a) The name of the consultant authorized to perform the work and to communicate oil behalf of the Sponsor; b) The Sponsor must insure that contracts issued under this Agreement comply with the provisions of Arizona Executive Order 75 -5 as amended by Arizona Executive Order 99.4, relating to equal opportunity; c) The terms for termination of the contract either for failure to perform or in the best interest of the Sponsor; d) The duly authorized representatives of the State shall have access to any books, documents, papers and records of the consultant and /or contractor which are in any way pertinent to the contract for a period of five years, in accordance with A.R.S. 35-214, for the purpose of making inspections, audits, examinations, excerpts and transcriptions. 2) All contracts shall stipulate and make clear: a) The responsibilities of the consultant to gain authorization for changes oil the Project which may have an affect oil the contract price, scope, or schedule; b) That all construction contractors and sub- contractors hired to perform services, shall be in compliance with A.R.S. 32, Chapter 14. c) That any materials, including reports, compLIter programs or files and other deliverables created under this Agreement are the sole property of the Sponsor. That these items shall be made available to the public. The Contractor /Consultant is not entitled to a patent or copyright oil these materials and may not transfer the patent or copyright to anyone else. d) That any travel shall be reimbursable by the State only within the rules and costs in accordance with the State of Arizona Travel Pol icv. In addition, a conflict of interest sliall be cause for disqualifying a consultant from consideration; or terminating a contract if the conflict sliould occur after the contract is made. A potential conflict of interest includes, but is not limited to: 1) Accepting all assignment where duty to the client would conflict with the consultant's personal interest, or interest of another client. 2) Perform i rag work for a client or liav i ng all interest wia icli conflicts w itli til i s contract. Reports ']File Sponsor shall submit rnontlily status reports during planning, shall submit monthly status reports during design, and shall submit weekly reports during construction. All reports shall reflect, at a minimum, the progress accolrrplislied in relation to the Grant and Project schedules and milestones, the reasons for any changes, and the recommended corrections of problems encountered. Upon completion of the Project, the Sponsor shall submit a letter to the State specifying that the Project leas been completed to their satisfaction and that the consultant and the contractor leave completed their contractual responsibilities. Chaff Any changes to the consultant contract, authorized by the Sponsor, that include additional funds, time anal /or scope, shall be by amendment and shall be approved by the State prior to being made in order to be eligible for reimbursement. Approval of a change by the State shall not obligate the State to provide reimbursernent beyond the maximum funds obligated by this Agreement. Any increase to the amount of funds authorized hereunder, to the expiration date of this agreement, or to the scope of work included in this agreement must be by formal arnendrlient, and signed by all parties. Any changes to tine contract documents, authorized by the Sponsor, must be approved by the State prior to ally clialiges being made in order to be eligible for reimbursement. Audit Upon completion of the Project, the Sponsor agrees to Dave are audit performed. The accounts and records will be kept in accordance with A.R.S. 35 -214. The Sponsor further- agrees to provide the State a certified copy of the audit report. The State is to determine the acceptability of this audit. Suspension If the Sponsor fails to comply with any conditions of this Agreement, the State, by written Notice to the Sponsor, may suspend participation and withhold payments until appropriate corrective action has been taken by the Sponsor. Costs incurred during a period of suspension may not be eligible for reimbursement by the State. Failure to Perform If the Sponsor fails to comply with the conditions of this Agreement the State, may by written notice to the Sponsor, terminate this Agreement in whole or in part. The notice of termination will contain the reasons for termination, the effective date, and the eligibility of costs incurred prior to termination. The State shall not reimburse any costs incurred after the date of termination. Termination for Coii vexiience When the continuation of the Project will not produce beneficial results commensurate with the further expenditure of funds or when funds are not appropriated or are withdrawn for use hereunder, the State may terminate this Agreement. In the case where continuation of the Project will not produce beneficial results, the State and the Sponsor shall mutually agree upon the termination either in whole or in part. In the case where funds are no longer available or have been withdrawi or not appropriated, or the Project is no longer in the State's best interest, the State shall have the right of termination as its sole option. 'rhe State shall not reimburse any costs incurred after receipt of the notice of termination. The Governor pursuant to A.R.S. Section 38 -511 hereby puts all parties oil notice that this Agreement is subject to cancellation. Waivei- by State No waiver of any condition, requirement or right expressed in this Agreement shall be implied by any forbearance of the State to declare a default, failure to perform or to take any other action oil account of any violation that continues or repeats. Compliance with Laws The Sponsor shall comply with all Federal, State and Local laws, rules, regulations, ordinances, policies, advisory circulars, and decrees that are applicable to the performance hereunder. A rhitratian In the event of a dispute, the patties agree to use arbitration to the extent required by A.R.S. Section 12 -1518. Jurisdiction Any litigation between the Sponsor and the State shall be commenced and prosecuted in an appropriate State court of competei - it,jurisdiction within Maricopa County, State of Arizona. Paae 12 of 17 Grant Number E5S3N Town of Marana Marana Regional Airport Excess of Payments If it is found that the total payments to the Sponsor exceed the State's share of allowable project costs, the Sponsor shall promptly return the excess to the State. Final determination of the State's share of allowable costs shall rest solely with the State. Any reimbursement to the Sponsor by the State not in accordance with this Agreement or unsubstantiated by project records will be considered ineligible for reimbursement and shall be returned promptly to the State. State Inspectors At any time and /or prior to final payment of funds for work performed under this Agreement, the State may perform all inspection of the work performed to assure compliance with the terms herein and to review the workmanship of the Sponsor's contractors and/or consultants. No inspector is authorized to change any provisions of this Agreement or any provisions of Agreements between the Sponsor and the Sponsor's contractor and /or consultant. Indemnification The State of Arizona, acting by and through the Arizona Department of Transportation, does not assume any liability to third persons nor will the Sponsor be reimbursed for the Sponsor's liability to third persons resulting from the performance of this Agreement or any subcontract hereunder. Tile Sponsor shall indemnify and hold harmless the State, any of their departments, agencies, officers and employees froill any and all liability, loss or damage the State may suffer as a result of claims, dernands, costs or judgments of any character arising out of the performance or non - performance of the Sponsor or its independent contractors in carrying out any provisions of this Agreement. In the event of any action, this indemnification shall include, but not be limited to, court costs, expenses of litigation and reasonable attorney's fees. Re wired Provisions Deemed Inserted Each and every provision of law and clause required by law to be inserted in this Agreement shall be read and enforced as though it were included herein, and if through mistake or otherwise any such provision is not inserted, or is not correctly inserted, then upon the application of either party, this Agreement shall forthwith be physically amended to make such insertion or correction. Proper! Proper!y of the Sponsor and State Any materials, including reports, computer programs or files and other deliverables created under this Agreement are the sole property of the Sponsor. The Contractor /Consultant is not entitled to a patent or copyright oil these materials and may not transfer the patent or copyright to anyone else. The Sponsor shall give the State unrestricted authority to publish, disclose, distribute and otherwise use at no cost to the State any of the material prepared in connection with this grant. At the completion of the project, the Sponsor shall provide the State with an electronic copy, in a format useable by the State, and one hard copy in a format useable by the State, of final plans, specifications, reports, planning documents, and /or other published materials as produced as a result of this project. Planning Documents 1) The Sponsor shall include in all published material in connection with the planning Project a notice that the material was prepared under a grant provided by the State. The Sponsor shall give the State unrestricted authority to publish, disclose, distribute and otherwise use any of the material prepared in connection with this grant. 2) The Sponsor shall make planning material available for examination by the public and agrees that no material prepared with funds under this Project shall be subject to copyright. That approval of this Project grant or approval of the planning material developed as a part of this grant does not constitute or imply assurance or commitment oil the part of the State to approve pending or future application for a State grant oi• funding. 3) The Sponsor shall appoint a Planning Advisory Committee (PAC) for this Project, which will have the opportunity to furnish information, and review the plan as it is developed. Members of the PAC shall be as deemed appropriate to address the special issues of the Project, except that at least one member shall be a non - aviation citizen of the area, and one shall be a representative of the ADOT Aeronautics Croup. An invitation will be given to the affected military installations and the Arizona State Land Department (as appropriate) to participate oil the Planning Advisory Committee. The Sponsor shall bold a minimum of three meetings throughout the Project, including a iniiiinnuni of two meetings between the Sponsor, the consultant, and the PAC. A inininnum of one public meeting shall be held during the Project. The Sponsor may not accomplish the final acceptance of the plan until the State has reviewed and commented oil the work performed. The comments provided by the State shall not be construed as approval of the planning document. 4) If the planning performed under this Agreement covers an existing or future airport not located on properties owned or leased by the Sponsor, the Sponsor agrees to obtain full control of the property for a period of not less than twenty (20) years. ARIZ ONA 8 5 6 5 3 Item D 1 To: Mayor and Council Submitted For: Gilbert Davidson, Town Manager From: Vickie Hathaway, Assistant to the Town Manager Date: June 2, 2015 Strategic Plan Focus Area: Not Applicable Subject: Relating to Finance; presentation, discussion and direction regarding conducting a special mid - decade census (Gilbert Davidson) Discussion: Shared revenues received from the State of Arizona comprise approximately 24% of operating revenues in the Town's General Fund, and all operating revenues in the Highway User Revenue Fund. These shared revenues are distributed to cities and towns based upon population size, as determined by the last census conducted. State law allows municipalities to conduct a special, mid - decade census. Those conducting a special census would be responsible for paying all costs associated with conducting it. In 2005, the last time the town could have conducted a mid - decade census, the law allowed cities and towns to submit to the director of the Arizona Department of Revenue the July 2005 population estimate as approved by the Department of Economic Security, thereby avoiding the costs of a special census. However, that statute no longer allows cities and towns to submit the State population estimates. Because shared revenues are so significant to the Town, staff completed an analysis of the estimated benefit and cost of the special census. The analysis suggests that the Town could lose approximately $140,000 per year in state shared revenues if the Town does not conduct a special census while certain other cities do. Conversely, the Town could gain approximately $1 million per year if a special census is conducted. Due to the significance of the cost in conducting a special census, along with the uncertainty of actual, final population numbers, staff would like to present key elements of the benefit and cost analysis, steps in conducting a special census, and Town responsibilities for the purposes of facilitating discussion and direction regarding conducting a special census.
