RESOLUTION AUTHORIZING TOWN OF MARANA TO RF.I.EASE MCS
TELECOMMUNICATIONS, INC FROM ITS LICENSE, UPON ITS SALE TO JONES
INTERCABLE.
WHEREAS, MCS Telecommunications, Inc., presently has a license with the Town of
Mararia; and
WI-mREAS, MCS Telecommunications, Inc., is transferring its interest in the Marana
Cable System to Jones Intercable, Inc.
NOW, THEREFORE, BE IT RESOLVED by the Town Council of the Town of Mararia,
Arizona, that it hereby approves the termination of the Cable Communications System license
(the "License") granted to MCS Telecommunications, Inc. on September 30, 1987, effective as
of the date on which MCS Telecommunications, Inc. transfers its interest in the Marana Cable
System to Jones Intercable, Inc.
Concurrently with the termination of the License, the Town of Mararia approves the
release of the ONE HUNDRED THOUSAND DOLLAR ($100,000.00) Certificate of Deposit
held by the Town of Mararia as a performance bond required by the Town of Mararia Cable
Communications Ordinance. If for any reason the transfer of the Mararia Cable System to Jones
Intercable, Inc. falls to occur, the Town of Marana rescinds it approval and the License shall
continue in full force and effect, and the Town shall continue to hold the ONE HUNDRED
THOUSAND DOLLAR ($100,000.00) Certificate of Deposit.
The Mayor and Town Clerk are authorized and directed to sign and attest for an on
behalf of the Town of Marana, any necessary documents to comply with this Resolution, and
to release the Performance Bond.

Marana, Arizona, on December 15elb 1992.
